But their game thrives on our subjugation. It demands our silence, compliance, and entrapment. You are forced to play, but never win. The dice are loaded; the cards are stacked. You cannot win.

But we, the Logos Collective, are not afraid; we carry the torch Satoshi rekindled and passed on. We draw on centuries of technological, artistic, and revolutionary movements, from the Enlightenment thinkers of old to those visionaries seeking refuge in cyberspace. We stand for all those downtrodden and trapped in a game that only its rulemakers can thrive in.

We're building a portal to a parallel society – an exit into a new form of social coordination. The frontier Satoshi pioneered lies uncharted, ready for us to explore. The opportunities for its earliest settlers will be profound, and a freedom that today may seem unimaginable awaits.


# About Logos Operators

Operators are the founding members of the Logos cyberstate, building this self-sovereign digital territory to pursue innovation, freedom, and prosperity.&#x20;

The Logos Operators collection comprises 10 archetypes – Alchemists, Artisans, Explorers, Illuminators, Magicians, Memetics, Outlaws, Oracles, Philosophers, and Polymaths – each representing a persona essential for founding our onchain digital society. Our mission is to support every Operator with the resources necessary to realise our vision.

&#x20;As Operators, we recognise that cultures precede nations, and nations precede states. As such, we are not merely building a community but nurturing a citizenry with its distinct cultural and political identity.

## The Logos Cyberstate

The Logos cyberstate is the first truly self-sovereign digital autonomous zone. Built using Codex, Waku, and Nomos, it offers a decentralised and censorship-resistant space where individuals and communities can organise, govern, and transact freely. Unlike nation-states, the Logos cyberstate is built on cryptographic trust, privacy, and permissionless innovation. It provides the foundation for new governance models, parallel economies, and autonomous communities. This new frontier is for those who choose to exit and shape their systems of governance.

## **Logos + Bitcoin**

As Bitcoin layer-2 solutions evolve to address scalability and enable smart contract functionality, decentralised communication and data storage become essential for supporting a censorship-resistant application layer that maximises the costs of surveillance and coercion while minimising the costs of exit. El Salvador's adoption of Bitcoin as legal tender was the first step; next, we can innovate beyond ineffective bureaucracies, paving the way for fully onchain societies.

On 3 May 2024, we inscribed the Logos manifesto as the largest ever Bitcoin inscription,  [**#70,614,708**](https://www.ord.io/70614708), signalling Bitcoin's critical role in inspiring and enabling self-sovereign digital communities.

Our homage to Bitcoin extends to a collection of ordinals that will serve as an entry point to our ecosystem. Known as Operators, each inscription represents the pseudonymous identity of those opting out of the legacy internet system and into the Logos technology stack. Operators will be one of the first to test and bootstrap our technology, getting it ready to onboard users *en masse*.

## Collection Overview

The **Logos Operator** collection consists of 5,000 unique ordinals, each aligned with one of ten archetypes that define critical crypto-native roles within the Logos network. This collection addresses challenges such as deplatforming, censorship, and the pursuit of truth.  Each archetype is visualized through 3D renders, animated to convey movement and depth. Inspired by cyberpunk aesthetics and philosophical traditions, the collection pushes boundaries with designs that embrace digital obfuscation and futuristic anonymity.

These digital identities serve as more than mere avatars—they are symbols of each participant's role within the Logos community, allowing users to stake their Archetype and contribute to the greater movement. We are proof of the power born from discovering together: a nomadic war machine in cyberspace, on a mission to create technology that supports freedom, justice, and innovation for all.

**Collection Traits**

Each of the 10 Archetypes reflects a core facet of the Logos ecosystem, representing various disciplines and responsibilities that build the foundation of our on-chain society. The traits include Archetypes (10), Comps (5), Backgrounds (13), Helmets (53), Jackets (53), Skins (8).

**Archetype Name**

Each of the 5,000 Operators has been given a unique name, not a number. These names draw inspiration from cypherpunk influences like John Perry Barlow, Timothy May, and Hakim Bey, and echo the seed phrases used when creating wallets.

**On-Chain Art**

Each of the 5,000 Logos Operators has been meticulously crafted as highly detailed 3D files and made available for download as either JPGs or GIFs at dashboard.logos.co/explore. However, the high quality of Operators almost separates the collection from the raw essence of Bitcoin culture and original ordinal pfp collections.

Degen Mode is a pixelated tribute to honour the classic, lo-fi visual style that defined the early days of Bitcoin Ordinals and crypto art. Back then, the magic wasn’t in how refined or high-res an image could be; it was in the ethos—rough edges, blocky pixels, and an unfiltered nod to the punk spirit.

By stripping down these visuals to their pixelated forms, we capture that rawness and lean into the nostalgia of early Ordinals art, bringing back that unmistakable vibe of early blockchain aesthetics. Degen Mode isn’t just about lightening the file size; it’s about reconnecting to the roots of crypto art, embracing the "degen" spirit that inspired the scene, and making sure these pieces stay true to the Bitcoin Ordinals legacy.

We believe that open source design will fundamentally change the way we organise our systems and societies, and address many of the pitfalls that are a direct result of ‘web 2.0’ services.

**Truth and Knowledge:** Address the existential question of seeking truth in a controlled digital marketplace, emphasizing the role of critical thinking and awareness.

**Parallelism:** Illustrate how the archetypes create and navigate overlays on reality itself, breaking free from manufactured fears and constraints.

**Escape:** Present the archetypes as guides out of the metaphorical matrix, emphasizing the need to escape state-manufactured fear and control.

**Deplatforming:** Highlight the impacts of cancel culture and censorship, showcasing the resilience and innovation of the archetypes in maintaining freedom of expression.

**Censorship:** Demonstrate the battle against societal and state-imposed censorship, showing the power of creativity, technology, and wisdom in preserving truth.

**Mind Freedom:** Focus on the journey of freeing the mind from societal and digital prisons, offering a pathway to liberation and enlightenment.

## Provenance

The Logos Operator collection utilises the Parent-Child hierarchical structure to reinforce both provenance and authenticity within the collection. Each of the 5,000 Logos Operators will be recorded as a Child Inscription linked to OP1, the symbolic leader of the Operator Archetypes. OP1 is a Child Inscription of the [Logos Manifesto](https://gitbook.logos.co/logos/manifesto)—the largest inscription on Bitcoin—establishing a permanent, traceable connection between our foundational values and the individuals representing our community.

## Alchemists: The parallel society builders

Alchemists have studied the shortcomings of the nation-state model, its collapsing institutions, and its inescapable corruption. Enchanted by experimentation, their incantations produce novel mechanisms for voting, monetary policy, and public goods funding. Fanatical voluntaryists, they shun coercion in all its forms, favouring market-based discovery of more optimum processes. The Alchemists expect many of their rituals to fail and embrace this for they know that their most successful initiatives will reach the critical mass required to supplant the Westphalian order.

## Artisans: The cultural guardians

Artisans bring beauty and culture to the Logos Network. Instinctive imagineers, they weave visual, literary, and aural tapestries to broadcast the movement's message to the masses. Within the Logos Network, Artisans' closest collaborators are the Memetics and Illuminators, for whom they turn ideas into powerful mind-shifting motifs. From street art, zines, and the culture jamming of the Billboard Liberation Front to situationism, brutalism, and futurism, a melting pot of diverse influences inspires the Artisans.

## Explorers: The research engine

Explorers are on a voyage of intellectual discovery. But unlike those buccaneers of the Nassau Pirate Republic, these number crunchers sail a sea of seemingly uncorrelated data, and their treasures are the patterns that float to the surface. With a cutlass keen for statistical aggregation, Explorers analyse, evaluate, and parse, sharing their findings with the Magicians and Alchemists. This archetype cruises on a vessel of server farms, simulating and modelling to weed out edge cases and anomalies. Their oceanic knowledge of distributed systems makes them a critical member of the Logos crew.

## Illuminators: The megaphone

Logos needs peers, and Illuminators show potential peers why they need Logos. Call them educators, persuaders, or propagandists, these guerilla marketers crave virality, and no stunt to achieve it is out of bounds. Illuminators repackage the efforts of Artisans, Magicians, and Memetics, devising strategies to spread a message of urgency, impending dystopia but, above all, hope. They warn of government corruption, wealth erosion, censorship, and surveillance while promoting a post-Westphalian alternative built atop the Logos technology stack. If Oracles are the movement's manifesto and Outlaws are its footsoldiers, Illuminators are its megaphone.

## Magicians: The bounty hunters

Magicians conjure the counter-Net with their code; they are the planners of Logos. Illuminated by a matrix of monitors, these algorithmic architects huddle over keyboards, reaugmenting Satoshi's sorcery and Vitalik's vision. Drawing on the wisdom of the earliest Alchemists and Explorers, the first of the Magicians invoked Codex, Nomos, and Waku – the Logos technology stack. While meatspace magicians shirk the sharing of secrets, those of Logos practice in public, announcing their spells to all who stand to benefit.

## Memetics: The viral creators

From the depths of 4Chan and versed in the Cult of Kekistan, the Memetics are the provocateurs and pranksters of Logos. These subversives dwell in the darkest corners of cyberspace, finding humour in the macabre and often distasteful. The Memetics were moulded by the legendary trolls of the internet and make victims of those who use their influence to defend the status quo. Don't show them that meme; they've already seen it. In fact, a Memetic probably created it.

## Oracles: The grassroots organisers

Oracles are those Operators who can see beyond the constraints of today's philosophical and ideological frontiers. For them, the status quo is something to challenge, not succumb to; any assumption that human creativity and ingenuity have peaked is utterly repugnant. Firmly accelerationist, these visionaries springboard perspectives from the works of Timothy May and Hakim Bey, as well as the science-fiction of William Gibson, Cory Doctorow, and Pat Cadigan. An Oracle cannot divine the future but refuses to believe that debt slavery, authoritarianism, and ultimate destruction are humanity's fate. The future is unwritten, the Westphalian order a passing fad, and the smallest idea can rewrite the course of history.

## Outlaws: The hacktivists

A virus that would make McAfee tremble, Outlaws are the worms in your mainframe and the Trojan Horses in your server cluster. Whether leaking war crimes or doxxing the scum of the earth, these rebels found their cause and don't play nice. If a rule perpetuates injustice, it's only a matter of time before an Outlaw will break it, often in spectacular public fashion to highlight its hypocrisy. Inspired by Ulbricht, Assange, and the late Aaron Swartz, the Outlaws believe that direct action speaks louder than words, and the ends always justify the means – even if those ends might land the Outlaws in jail or worse.

## Philosophers: The thought leaders

Philosophers are the wise and reflective Operators of the Logos network, dedicated to exploring the deeper questions of existence and understanding. They are the thinkers who ponder the ethical and philosophical implications of technology and progress. In a world where censorship and deplatforming threaten free thought, Philosophers stand as defenders of wisdom and truth. They encourage others to question the manufactured realities and societal constructs that imprison the mind. Through their teachings, Philosophers show the way out of the maze, guiding individuals towards enlightenment and freedom from fear and control.

The Swiss Army knives of the Logos Network, Polymaths wear many masks. They casually code, dabble in design, and flirt with philosophy. A Polymath is as equally at home at a hackathon as they are within the pages of Rosseau or commanding a botnet takedown of a government agency. Drawn to the Logos Network for a variety of reasons, this multi-talented archetype supports all others in their endeavours, whether they be technical, creative, or cultural. Forever curious and perpetually learning, Polymaths thrive in situations requiring a broad spectrum of skills.<br>

# Vision

## Cyberstates will form the next social order

Self-sovereign network states offer a wealth-creation opportunity on a scale comparable with nation-states.  According to the *Journal of Institutional Economics*, **"A mere 0.1% reduction in transaction costs can quadruple a country’s wealth** – **the difference between Argentina and Switzerland."** The rise of multiple governance models will drive competition between nations and networks, giving citizens underserved by current systems more choice in the rules they live by.

Logos is building the **first digital autonomous zone** – a free, open space on the internet where the crypto community can create, experiment, and explore new forms of governance and economic expression. Transcending the nation-state model requires moving beyond the web 2.0 technology stack and embracing a truly decentralised network that prioritises privacy. We are building Codex, Waku, and Nomos as the foundational layers of this new stack to these networks.&#x20;

## Long-term vision

### **Phase 1: Evolving institutions**

The adoption of Bitcoin as legal tender indicates that smaller nation states are willing to outsource responsibilities to open-source protocols. The absence of base-layer privacy prevents the government from adopting more complex functions.

Nation states can enhance their global competitiveness by implementing government-ready institutions built on the Logos technology stack. These institutions – such as banking and property registry – rectify the erosion of civil liberties and improve the lives of underserved citizens by replacing ineffective bureaucratic processes with simplified app-based interfaces.

### Phase 2: On-chain startup cities and SEZs

Social enclaves can be created within existing jurisdictions to better support the needs of specific sects of the population. Startup cities and communities within special economic zones and exploratory territories can organise collections of social institutions around privacy-preserving governing services built on the Logos technology stack.

Logos will support existing social experiments and encourage the formation of [future ](#user-content-fn-1)[^1]ideologically aligned communities.

### Phase 3: Self-sovereign Cyberstates and Parallel Societies&#x20;

The combination of a durable data storage protocol, an ephemeral communication protocol, and privacy-preserving layer-1 enables auditable and forkable governing states that require an individual’s expressed consent to be governed.

Logos serves as the coordination mechanism for governance and resolution, similar to the role of the United Nations among nation-states. Our vision supports the infinite formation of digital territories and economies.

We are a diverse group of over 200 crypto enthusiasts, cypherpunks, and degens, united by a passion for innovation and community empowerment. Together, we come from a range of backgrounds, including crypto, academia, and community activism. # The Logos Stack

The Logos technology stack is the base for the next generation of governing services, incentivising the formation of borderless public institutions based on voluntary consent. Recent breakthroughs in zero-knowledge protocols, distributed systems, and leaderless consensus algorithms provide the technical foundation that makes such a base layer possible.

Each protocol is modular and fully composable, allowing development teams to customise privacy and decentralisation to suit their specific needs. When privacy is required, Nomos provides a robust consensus layer to ensure confidentiality.

## Codex

Codex is a decentralised data storage platform that provides exceptionally strong censorship resistance and durability guarantees. It is the data storage layer of the [Logos Network State](#user-content-fn-1)[^1].

* **Durable:** Codex uses a technique known as erasure coding to efficiently ensure data is always available without the storage costs associated with replicating the data.
* **Decentralised:** Codex's incentivisation mechanism promotes wide participation of data storage providers, both small and large, thus ensuring a robust network resistant to censorship and external attack.
* **Accessible:** Participating in the Codex network is highly accessible thanks to its permissionless nature and bandwidth usage optimisations like its "lazy repair" recovery system.
* **Censorship resistant:** Codex has no power to censor data and protects against censorship and data loss from DDoS attacks, data corruption, and even the shutdown of a significant number of nodes.

## Waku

Waku is the peer-to-peer communication layer for the [Logos network state.](#user-content-fn-2)[^2] It removes centralised third parties from messaging, enabling private, scalable, censorship-resistant communication.

* **Private:** Waku leverages cutting-edge zero-knowledge encryption to guarantee all messaging and associated metadata benefit from rock-solid privacy, protecting users from third-party intervention.
* **Scalable:** Waku employs message sharding for efficient throughput, while its discovery protocol ensures a user only connects to nodes serving messages they are interested in.
* **Decentralised:** Waku's native incentivisation mechanisms will ensure a wide node distribution, making it highly secure and strengthening its privacy assurances.
* **Runs anywhere:** Waku's modularity enables developers to integrate protocols according to their use case and users' hardware restraints. Waku was designed to be lightweight, enabling it to run in resource-restricted environments like browsers and mobile devices.

## Nomos

Nomos is a sovereign, modular, zero-knowledge encrypted layer-1. It serves as a scalable, trustless agreement layer for Logos.

Participants in *The Exit* earned Experience Points (XP) by completing tasks, joining the Darklist, and securing the right to inscribe a Logos Operator on inscription day. XP not only measures an Operator's reputation but also reflects their contributions to the emerging Logos cybernation. Community members support the growth and success of Logos by submitting **contributions**—proposals and tasks designed to advance the Logos mission. Only those with enough XP or a darklist entry from a Logos Community partner will secure a spot on the darklist for Epoch 2. The final selection is subject to demand and availability.

Each **epoch** lasts **12,960 Bitcoin blocks**, serving as a distinct time frame for community activities and rewards within the Logos ecosystem. Following each epoch, there is a **cooldown period** of **1,008 blocks**.&#x20;

## The Founders Generation

On December 16 2024, **1,000** of the **5,000** Operator collection were made available as a free mint.

The **Founders Generation** represents the first Operators of the Logos Cybernation—pioneers who inscribed their place in history by claiming Ordinals from the genesis wave of the collection. Marked by the **Logos Manifesto** inscription on the largest Bitcoin block to date, this generation embodies the opening of the **EXIT**—the first step toward self-sovereign digital governance.

These early adopters are more than just participants; they are the architects of a censorship-resistant, decentralised future. As builders, thinkers, and disruptors, they set the foundation for the cybernation, forging new systems of coordination, autonomy, and economic expression beyond the constraints of the state.&#x20;

## Bitcoin Address Privacy

While Bitcoin supports financial sovereignty, it is not inherently private. Its transparent blockchain allows transactions to be traced and linked to specific addresses over time, potentially compromising user privacy. To address these issues, we are building Nomos—a modular consensus layer introducing transaction, mempool, and validator privacy.

To maintain on-chain privacy when using Bitcoin, we recommend the following practices:

1. **Use New Addresses for Each Transaction**\
   Creating a new address for every transaction helps prevent linkages that could reveal transaction patterns.
2. **Avoid Reusing Wallets Across Services**\
   Use separate wallets for different services to minimise the risk of transaction linkage and identity association.
3. **Consider CoinJoin or Mixing Services**\
   "CoinJoin combines multiple transactions, making it more challenging to trace their origins. Ghosty Cash is a decentralised service that allows you to anonymise your fund flow. While we don't recommend using centralised exchanges for this purpose, they can be a convenient way to refresh and protect your transaction history.

## **Centralised Exchange Users**

Not your keys, not your coins. Although we don't recommend centralised exchanges, we acknowledge that many new members of the Logos Operator Discord found us through OKX and other centralised exchanges. If you wish to take part in a paid mint, you'll need to withdraw Bitcoin from your centralised exchange and into a self-custody Ordinal-compatible wallet.


# Inscription Event: Epoch 2

## Generation Alpha

GenAlpha represents the next wave of Operators in the Logos cybernation. This generation will be made available in two ways:

1. Participants can **earn an Operator** by contributing to Logos in a number of ways, [outlined here](https://discord.com/channels/973324189794697286/1372894505396867082).  Consistent and high value contributions will be considered for the Operator reward.&#x20;

## Epochs

**Epochs** are recurring periods in the Logos ecosystem that structure community participation and rewards. Each Epoch is followed by a **Cooldown Period** of **1,008 Bitcoin blocks** (about 2 weeks) to reset and prepare for the next Epoch.

### How Epochs Work

* **Staking Requirements**: Operators who maintain a staked position throughout the entire Epoch (without unstaking) are eligible for a **Staking Bonus Rate** in the following Epoch. This bonus rate incentivises consistent participation and loyalty to the Logos network.
* **Cooldown Period**: After each Epoch ends, the 1,008-block Cooldown Period begins. During this time, staking rewards are recalibrated, and Operators can adjust their positions if needed before the next Epoch begins.

### Staking Bonus Eligibility

To qualify for the staking bonus in the upcoming Epoch, Operators must:

1. **Stake Consistently**: Keep their Operator ordinals staked without unstaking at any point during the entire Epoch.
2. **Maintain Individual Operator Stakes**: The bonus rate is calculated per individual Operator, so each staked ordinal adds to the potential bonus rate an Operator can earn.

This system allows active and committed community members to build their influence in Logos while being rewarded for their contributions across successive Epochs.

The **Epoch Progress Bar** at the top of the page provides a visual overview of the current Epoch’s progress, indicating whether it is in an **active Epoch** or the **Cooldown Period**. This allows users to stay informed about the current phase and plan their staking strategies effectively.

## Staking

Staking your **Logos Operator** allows you to earn **XP** and contribute to the security and growth of the Logos network. Here’s how you can stake and unstake your Operator and maximize your rewards. Staking does not require an on-chain transaction. Users will retain full custody of their Operator while staking.&#x20;

### How to Stake an Operator

All Operators are eligible to be staked and unstaked at any time, giving you flexibility in managing your positions. To stake an Operator:

1. **Select an Operator**: Go to your dashboard and locate the Operator NFT you wish to stake.
2. **Click “Stake”**: Press the **Stake** button associated with that Operator.
3. The Operator will now be "Staked".

Once staked, each Operator earns a base rate of **50 XP per Bitcoin Block**. This base rate applies consistently, with the potential for an increased **rate bonus in future Epochs** if you maintain your staked position without unstaking during an entire Epoch. You can view each Operator’s current staking rate under the “XP/Block” heading.

### How to Unstake an Operator

If you wish to withdraw your Operator from staking, you can do so at any time:

1. **Click “Unstake”**: Find the staked Operator in your dashboard and click the **Unstake** button below it.
2. The Operator will now be "Unstaked".

Unstaking an Operator before the end of an Epoch resets your eligibility for the **future rate bonus**, so to maximize your rewards, keep your Operators staked continuously through each Epoch.

## Pinning an Operator

**Pinning** an Operator allows you to choose which Logos Operator Profile Picture (PFP) represents you across the Logos ecosystem. Your pinned Operator will display your chosen Archetype and name in your profile, giving you a unique identity within the community.

#### How to Pin an Operator

To set an Operator as your representative PFP:

1. **Click the “Pin” Icon**: Locate the Operator you want to pin and click the **Pin** icon next to the **Stake/Unstake** button.
2. **View Your Updated Profile**: Once pinned, your profile at the top left of the dashboard will update to reflect the selected Operator’s **name** and **Archetype**.

#### How to Unpin or Change Your Pinned Operator

To unpin or replace your current Operator PFP:

* **Unpin**: Click the **Pin** icon again on the currently pinned Operator to remove it from your profile.
* **Change Pinned Operator**: Simply pin a new Operator by following the steps above. Your profile will automatically update to reflect the new selection.

This pinning feature lets you personalize your presence and represent your chosen Archetype within the Logos community and does not affect your XP.&#x20;

XP is non-transferable and is bound to a user’s wallet. While users may manage multiple wallets, XP will not be pooled across different wallet addresses. This ensures that each user’s contributions are uniquely recognised within the community.

# Multipass

The **Multipass** is a hardware wallet designed exclusively for Logos Operators, but it is more than a wallet – it’s your secure, private gateway into the Logos ecosystem, protecting your assets and enhancing your experience as a Logos Operator. It represents your residency within the Logos cybernation and is the key to securely accessing all features of the Logos ecosystem.

## Key features

* **Secure storage:** After inscription, users can store their Logos Operator on the Multipass, ensuring safe management of their digital assets.
* **Mobile access:** The Multipass connects with the Logos app, available on iOS and Android, allowing seamless access to the Logos Dashboard.
* **Event access (coming soon):** The Multipass will soon support zero-knowledge entry for both digital and in-person events, ensuring private and secure participation.

## How it works

1. **Download the app:** Start by downloading the Logos Operator app from the iOS App Store or Google Play store.
2. **Connect your Multipass:** Open the app and tap your Multipass to your phone to connect via NFC.
3. **Set up your wallet:**
   * You can create a new wallet within the app to receive your Logos Operator, or
   * Import an existing Bitcoin wallet using your 12- or 24-word recovery phrase.

## **Problem Statement**&#x20;

Existing services lack the privacy and anonymity required to establish self-sovereign digital institutions and states. Discord is also limited in its efficacy to support public discourse around specific topics. Our goal is to create a space online where groups have freedom of assembly and expression to begin building towards the Logos vision of digital societies that reduce the barrier to exit and scale beyond the limitations of the nation-state by better serving the individual.

## **OpChan:** **A Forum for Collaboration and Engagement**

**OpChan** is a new feature within the Operator Dashboard, designed to foster collaboration, discussion, and engagement among Logos Operators and the broader community. OpChan introduces a forum where users can post proposals, ask questions, and create communities known as "Cells." By integrating OpChan into the Logos ecosystem, we aim to create a vibrant, inclusive, and dynamic space for dialogue and innovation.

Long term, we view Cells as the precursor to future network states and cyber nations, providing the initial infrastructure to identify how groups will form. This will set the roadmap to identify future features that allow Cells to evolve into self-sovereign digitally native economies. We are working closely with the Waku team to decentralize OpChan over time and take advantage of the inherent privacy of Waku and Codex to address long-term censorship resistance.

Acting as hubs for education, experimentation, and community organisation, these Cells drive social change and reflect Logos' vision for enabling self-sovereign communities and coercion-resistant parallel governance structures. By forming a Cell, you contribute to the research and discovery process, exploring how network states emerge and what resources are needed for them to become self-sustaining.

## **Purpose and Vision**

Cells are more than just communities—they are decentralised hubs of activity that bridge the digital and physical realms. Their primary purpose is to cultivate strong, self-sustaining communities that embody Logos’ ethos and values, fostering collaboration to promote the growth of trustless systems. Over time, Cells will form a network of ideologically aligned individuals, united through the Logos Network and a shared commitment to protecting civil liberties. We see Cells as the foundation for self-sovereign communities within the Logos cybernation, evolving alongside the development of the Logos technology stack into self-sovereign, censorship-resistant, on-chain economies.

## **Core Functions of Logos Cells**

Logos Cells perform a variety of essential roles, including:

Cell organisers will earn experience points (XP) for establishing and maintaining their Cells, which include ongoing responsibilities such as hosting monthly meetups. Additionally, we are exploring ways to open our incentive mechanisms—such as XP and Operator Ordinals—to support Cells in their community-building efforts. For IRL Cells, this may include helping cover the costs of meetups and providing grants to fund further experiments and initiatives organised by the Cells.

# Crypto Special Economic Zone (cSEZ)

### Building the Future of Crypto Special Economic Zones (cSEZs)

The **Logos project** aims to create a new generation of **Crypto Special Economic Zones (cSEZs)**, blending physical and virtual environments to drive the adoption of Logos, accelerate decentralized application (dApp) development, and provide a favorable business ecosystem for crypto startups. By acquiring land in jurisdictions favorable to crypto and establishing virtual SEZs, Logos seeks to generate significant spillover effects, impacting both the targeted territories and beyond.&#x20;

This document explores the dynamic and static outcomes of SEZs, offering a blueprint for building successful cSEZs. It draws from both traditional SEZ experiences and emerging trends in high-tech zones to design a sustainable, innovative framework for crypto zones.

### Dynamic vs static outcomes within an SEZ

**Traditional SEZs** are commonly evaluated based on their **economic, social, and environmental** outcomes. These outcomes can be categorized as **static** or **dynamic**:

* **Static outcomes** are short-term results such as increased exports, employment creation, and foreign investment. While beneficial at first, they often fail to generate long-term growth and can become unsustainable if fiscal incentives persist.\ <br>

## Static vs Dynamic Outcome Examples in Non-Crypto SEZs

* **Static Outcomes Only**: SEZs in **Honduras** and **Africa** saw initial success in exports and job creation but failed to generate lasting economic benefits, as they did not establish comprehensive value chains. Similarly, the **Dominican Republic's** SEZs experienced stagnation due to over-reliance on fiscal incentives.
* **Static and Dynamic Outcomes**: In contrast, **India's** tech parks and **Malaysia's** EPZs fostered skill-intensive sectors and technological upgrading, leading to sustainable growth. **Mauritius** and **South Korea** demonstrated how domestic investment, skill development, and technology transfer can turn SEZs into engines of long-term transformation.

Countries like **China** and **Malaysia** used SEZs to experiment with new policies, later expanding successful models to the broader economy.

## **High-tech SEZs**

High-tech SEZs such as Russia’s **Skolkovo Innovation Centre** and Kazakhstan’s **Technological Innovation Park** highlight the success of clustering firms in advanced technology sectors. These zones have demonstrated that integrating sustainability practices (e.g., renewable energy, energy-neutral buildings) with a focus on high-tech industries can be a powerful model for future SEZs, including crypto zones.

### Designing Special Economic Zones

The success of **crypto SEZs** will depend on several design elements drawn from non-crypto SEZ experiences. The Logos project aims to leverage these principles, adapting them for the unique needs of the blockchain ecosystem:

1. **Legal and Institutional Framework**:
   * cSEZs must operate under a **special legal regime** that facilitates crypto-friendly operations, similar to charter city laws. The regime should protect investments, provide streamlined registration, and minimize political risks.
   * **Governance structures** in cSEZs should favor **public-private partnerships (PPPs)**, with independent boards responsible for regulation, ensuring transparency, and engaging private operators.
2. **Fiscal and Non-Fiscal Incentives**:
   * Fiscal incentives, such as tax exemptions and investment incentives, are useful short-term tools but should be carefully timed to prevent dependency. cSEZs should also offer non-fiscal incentives, including access to crypto-friendly banking, regulatory flexibility, and blockchain infrastructure.
   * A **one-stop shop** for administrative procedures is essential for efficiency.
3. **Institutional Set-Up**:
   * A dedicated **SEZ authority** should oversee operations, ensuring customer orientation, flexibility, and independence from political interference. This body must ensure high levels of transparency and efficiency in handling crypto-related operations.
4. **Dynamic Linkages**:
   * cSEZs should focus on establishing **dynamic linkages** with the domestic economy. This can be achieved by integrating **education, skills development,** and **on-site R\&D**, fostering local talent and supporting high-tech innovation.
   * Building **economies of agglomeration** in blockchain technology through clustering and specialization will strengthen the zone’s competitiveness.

## Key Dimensions of Success for cSEZs

Drawing from the best practices of traditional SEZs, the following are critical to the success of crypto SEZs:

* **Strategic Focus**: cSEZs must specialize in **high-tech blockchain applications**, particularly in areas such as **digital identity** and **decentralized finance** (DeFi), to create a strong value proposition.
* **Integration with Local Economies**: Crypto zones must avoid becoming isolated enclaves by actively engaging with local businesses and fostering knowledge exchange.
* **Environmental Sustainability**: Sustainable blockchain technologies, such as **proof-of-stake** and **low-energy consensus mechanisms**, are not only critical for reducing the environmental footprint but also enhance the attractiveness of the zone in a global, eco-conscious market.
* **Innovation Hubs and Clusters**: Successful cSEZs should promote innovation through clustering, allowing startups to share resources, infrastructure, and ideas, creating a **crypto ecosystem** that fosters collaboration and drives technological advancement.

## Blockchain applications for the public sector

1. **Digital National Identity / personal data**

   Self-sovereign control of identity solves interoperability and security problems of isolated and federated identities. Decentralized cryptographic trustless architecture, credential verification, and interoperable protocols give individuals and entities the power to control and manage their identity without relying on external authorities. Moreover, individuals get autonomy over personal data (e.g., financial, social security numbers, civil & education certificates, health records, and so on). Once the personal information is digitized, it is usable for other activities, including opening bank accounts, labor attestations, and access to public services. Verification becomes less costly & fraud lowers.<br>

2. **Public Procurement**

   A significant portion of the public budget is particularly vulnerable to corruption. Blockchain and smart contract automated functions in public procurement increase transparency, independence, efficiency, and stakeholder participation in bidding. An access window into ongoing procurement processes allows interested parties to monitor biddings, evaluation, and contract allocations in real-time. Challenges: prevent blockchain collusions, guarantee privacy, and ensure scalability.
3. **Registries/ Property registration and real estate markets**

   Registration can turn into a bottleneck for doing business. Economic activities are discouraged when transferring property is costly and time-consuming. Blockchain can help reducing both (time and cost). For instance, selling property in the UK has 11 steps (from finding a solicitor to property transfer and tax payment). With smart contracts, the process in the UK could be reduced to 4 steps (Settlement 2021, p. 45). In addition, real-time audits and tracking fractional rights becomes easier. Challenges: blockchain cannot formalize or fill property rights’ loopholes. Also, a property must be digitized before going into the blockchain.
4. **Public Administration & Licensing**

   Blockchain can provide advantages for:

   1. Public program management. Blockchain favors coordination between disparate parties and sensitive data. Blockchain aids on building public trust, disintermediating and reducing the number of actors in grant management.
   2. Government contracts with different degrees of confidentiality - transparency. This section links with public procurement.
   3. The authorization of permits, licenses, and certificates, either for natural persons or businesses. This section links with identity and registries.
   4. Storage of public records ensures integrity, resiliency, and access levels -- some information is publicly available, while personal data is protected.
   5. Facilitate 24/7 settlement of government’s financial transactions.
5. **Regulation enforcement**

   Enforcing regulation is onerous, and monitoring adherence to it requires data management. In this case, blockchain allows us to trace and track items in real-time. Applications can track food provenance, or trace standardization rules for pharmaceuticals, medical equipment, automobile, or aviation parts.
6. **Public Finance (taxation)**

   Governments have made some progress in implementing blockchain solutions for taxation. Tax collection requires identifying citizens, their taxable activities, and assets. Taxation complexities arise from different fiscal regimes, exemptions, and special regimes; nonetheless, a blockchain-based system that allows tracking and sharing consistent information is a good start to address fraud or evasion.

## Steps for the approval of an SEZ

The approval method changes depending on whether the country has specific SEZ legislation or not. Countries with SEZ laws define the institutional framework, authorities, roles of the SEZ developer and operators, permitted activities, fiscal and other types of exemptions, application procedures, and licenses.

In countries without SEZ laws, the information presented refers to the current applicable legislation to foreign investors. In countries without SEZ laws that host special zones, the special regime that applies generally is covered by executive orders or decrees (e.g., Vanatu).

The information that is shown in the following pages refers to the possible target countries as per Politas research, namely: Antigua & Barbuda, Bahamas, Vanatu, Ukraine, Cayman, Barbados, Bermuda, and St.Kitts and Nevis.

**Ukraine:** the government of Ukraine, through the Ministry of Digital Transformation, has established a virtual IT HUB. The government is currently designing a Recovery Plan for the next decade (2022-2032) that aims to rebuild the country in a post-war scenario and position Ukraine as one of the most resilient and modern countries in terms of digitalization. **The plan includes a comprehensive incorporation of blockchain and AI into public services, as well as the promotion of a digital economy that attracts IT companies.** Their vision is for Ukraine to become the digital hub for Asian and European backbone traffic. **The proposal is that our Virtual SEZ would be the BLOCKCHAIN HUB inside DIIA CITY.**

**Antigua & Barbuda, Bahamas, and Cayman** are countries with an SEZ regime that could facilitate the establishment of our project. The procedures are clear and if the project is embraced, the SEZ proposal could transit.

**St. Kitts and Nevis** is not in the top proposals from Politas but it is worth exploring as a potential host country. Specifically, the island of St. Kitts is interested in establishing a Special Economic Zone (SEZ) for exports, manufacturing, logistics, and other activities. The disadvantage is that they do not currently have an SEZ regime, so we would need to build or negotiate one (this can be an advantage to tailor the SEZ regime OR can be a delay. The advantage is that St. Kitts and Nevis want to compete with the Caribbean countries that are bringing foreign investment via SEZs.

**Barbados:** The legal framework for establishing a new business with foreign capital is biased towards finance. The Barbadian Prime Minister announced the need to diversify and foster economic recovery through Free Zones (the declaration was made in 2021 during the COVID-19 pandemic emergency). The proposed solution of Free Zones, coupled with the interest in diversifying and increasing digital transformation, appears promising to explore as well.

**Vanuatu** has made several attempts to host a cryptocurrency special zone. Currently, Vanatu is host to Satoshi Island and other traditional SEZs. Vanuatu is working on the SEZ law to embrace more initiatives; however, according to Vanuatu's assessor Michael Castle-Miller, after 15 months of consulting, the legislation is going to take longer. The problem is the location. The proximity to large markets is a relevant variable to consider.

**Bermuda:** my recommendation is to rule out Bermuda due to its less flexible regulatory framework, which is a result of its high reputation among the mainstream global financial system, digital asset finance (centralized exchanges and tokenized wealth management), global insurance companies, and Insurtech. Moreover, Bermuda has the highest cost of living in the Caribbean, and in the world (above Switzerland), which will limit the type of company that can afford to set up (i.e., big companies). Although Bermuda is open to hosting innovations that bolster its financial competitive advantage, I believe that the authorities may be skeptical about hosting a free city, a startup society, or a zone with a high degree of autonomy.


# Logosat: Low Orbit Satellites

**Cubesats**

Cube satellites (Cubesats) are miniature satellites made from off the shelf components. The costs of building cube satellites and launching them into space has dramatically declined in the past decades and will continue to do so as the technology gains more widespread adoption. We believe they are ideally suited for applications requiring trust.

**Tamperproof**

Cube satellites are completely tamper proof. Once in orbit, no one can physically access them which means no one can physically hack them or modify them for malicious purposes.

**Transparent**

All communications with cube satellites happen in the open. Everyone with an antenna can listen to the satellites' transmissions which means they cannot lie without people noticing.

**Monitored**

Every satellite ever launched is monitored by space agencies such as NORAD. If something happens to our satellites we will know about it.

## Live Satellite Network Simulator

Welcome to the tutorial. This tutorial will teach you how to use the Logosat. The Logosat simulator is designed to emulate the workings of a live satellite and demonstrate the functionality of the Logosat API.

In the center of the screen there is a map visualizing the location of the Logosat and the ground stations that we use to communicate with it. Ground stations appear as blue dots whereas the Logosat will appear as a pulsing red or green circle.

On the left panel is a javascript console that you can use to type in commands. Throughout this tutorial you will find code snippets that showcase commands for interacting with the Logosat API. You are welcome to type the commands into the console and see the outcome for yourself.

## **Communication Windows**

Logosats are designed to be launched at low earth orbit. This means they are constantly moving across the sky, completing a revolution of the earth approximately every 90 minutes. While our ground stations are spread across the globe to ensure maximum coverage, there will still be occasions in which the Logosat will be out of the reach of our extensive ground station network and thus be offline. For that reason the Logosat service caches the latest transmissions from the satellite and makes them accessible via the Logosat API. Responses to most API calls will contain a timestamp indicating when the transmission from the Logosat, on which the response is based, was received.

The online status of the Logosat is displayed visually on the map. A green circle indicates the Logosat is online whereas a red circle indicates the Logosat is offline. Whenever the Logosat enters the covered regions it will turn green and whenever it leaves the covered region it will turn red.

## **Asynchrony**

When the satellite is offline the Logosat service caches transmission for non-interactive requests. Non-interactive requests are requests that do not depend on inputs from the end user but rather only on values generated unilaterally by the Logosat. For such requests the Logosat API returns the most recent value generated from the Logosat and received via one of the ground stations. Responses typically contain a timestamp to indicate the exact time the value was generated by the Logosat.

Interactive requests are queued and sent to the satellite when it is online. The Logosat API returns a request object which can be used to query the request status. For example, when issuing a signing request:

`request = logosat.sign('hello, world!');`

The request object can be queried in the following manner to determine the status of the request:

`request.status();`

The status can be one of *Pending*, *Sent* and *Ready*. A *Pending* status indicates the request is waiting for the Logosat to come online to transmit the request. A *Sent* status indicates the request has been transmitted and acknowledged by the Logosat. A *Ready* status indicates the request has been processed and the result is ready to be consumed by the user. To obtain the result of the operation issue the following call:

`request.result();`

The result will return null until the status of the request is *Ready*.

To obtain the current version of the Logosat invoke the following command:

The returned value contains the [semantic version](https://semver.org/) of the software running onboard the Logosat. The software version is reported along with the timestamp at which the Logosat last reported its software version.

## **Public Keys**

The Logosat API reports two public keys. The first is a public key used for signatures. It can be obtained using the following API call:

`logosat.getPublicSigningKey();`

The second is a public encryption key used for encryption. It can be obtained using the following API call:

`logosat.getPublicEncryptionKey();`

The keys are generated securely once the Logosat is in orbit and remain constant throughout the lifetime of the Logosat.

## **Timestamp**

The Logosat reports the current timestamp in periodic intervals. The timestamp, reported as milliseconds since epoch, is signed by the satellite’s public signing key. The timestamp and its signature can be obtained using the following API call:

`result = logosat.getTimestamp();`

You can verify the signature of the timestamp with the [NaCl](https://nacl.cr.yp.to/box.html) library as shown in the following snippet:

## **Public Randomness**

The cryptosat periodically generates random bits and transmits them back to earth. The public random values are signed by the logosat's public signing key. The random values and the corresponding signature can be obtained using the following API call:

`result = logosat.getPublicRandom();`

You can verify the signature of the timestamp with the [NaCl](https://nacl.cr.yp.to/box.html) library as shown in the following snippet:

## **Private Randomness**

The Logosat can serve private randomness to users. Users can supply their own public key and the Logosat service will generate random bits and encrypt them with the user-provided key. The Logosat also signs the message using its signature key.

To obtain private bits from the Logosat first generate a local key pair and a nonce:

`clientKey = nacl.box.keyPair(); nonce = nacl.randomBytes(nacl.box.nonceLength);`

Then invoke the Logosat API call:

`request = logosat.getPrivateRandom(clientKey.publicKey, nonce);`

The API call returns a request object allowing the user to track its status. The status can be obtained by invoking the status method:

`request.status();`

After the Logosat signed the message and transmits the signature back to earth, the status of the message will change to *Ready* and the result of the request can be obtained by invoking the result method:

`result = request.result();`

You can then decrypt the message using the following snippet:

And verify that the signature is valid using the this snippet:

## **Signature**

The Logosat can sign messages sent to it by end users. The Logosat signs the message, along with the current timestamp using its signature key. The current timestamp is appended to prevent backdating of signatures. The Logosat service takes care of coordinating the transmission of the message to the appropriate ground station when the Logosat is online.

To obtain a signature from the Logosat invoke the following API call:

`sigRequest = logosat.sign('your message here');`

The API call returns a request object allowing the user to track its status. The status of the request can be obtained by invoking the status method:

`sigRequest.status();`

After the Logosat signed the message and transmits the signature back to earth, the status of the message will change to *Ready* and the result of the request can be obtained by invoking the result method:

`result = sigRequest.result();`

You can then verify that the signature is valid using the [NaCl](https://nacl.cr.yp.to/box.html) library as shown in the following snippet:

## **Next Online**

If the Logosat is offline you can query for the next time it will be online use the following API call:

`logosat.nextOnlineTime();`

The result will be a javascript *Date* object of the next time the Logosat will be available. If the Logosat is currently online then the current timestamp will be returned.

## **Delay encryption**

One of the features of Logosat is Delay Encryption. Delay Encryption allows the user to generate a key pair that is stored on the satellite, and the keypair will be released in the future. To generate a delayed key pair a user can use the following function:

`const time_to_release_in_secs = 10; let keypair_id_req = logosat.createDelayedKeypair(time_to_release_in_secs); keypair_id = keypair_id_req.result().keypair_id;`

The result of the function will be the id of the keypair on the satellite and the public key. To fetch the public key a user can use the next function:

`pub_key_req = logosat.fetchDelayedPubKey(keypair_id); pub_key = pub_key_req.result();`

After the specified time we can also fetch the private key using the following function:

`priv_key_req = logosat.fetchDelayedPrivKey(keypair_id); priv_key = priv_key_req.result();`

If user will try to fetch the private key before the specified time, it will resolve in an error.

A user can also fetch a list of all keypairs currently available on the satellite, the list will contain the ids and the public keys. A user can fetch the list using the following function:

`keypair_list_req = logosat.fetchKeypairList(); keypair_list = keypair_list_req.result();`

When the keypair is no longer needed, A user can delete the keypair from the satellite using the following function:

`delete_keypair_req = logosat.deleteDelayedKeypair(keypair_id); delete_keypair_status = delete_keypair_req.result();`

## **Sealed-bid Auction using Delay Encryption**

A sealed-bid auction is one in which all bidders submit sealed bids to the auctioneer so that no bidder knows how much another auction participants have bid. Sealed bid refers to a written bid placed in a sealed envelope. This tutorial shows how a sealed bid auction can be implemented programmatically using Logosat’s Delay Encryption.

We first generate a "delayed" key-pair as in the [previous tutorial](https://simulator.cryptosat.io/#/cryptosat-api/delay_encryption):

Bidders encrypt their bids using to the public-key.

After `time_to_release_in_secs` seconds, we request the private key and decrypt the bids:

at which point the results of the auction are disclosed.

## **Private Ballot API**

Privacy-preserving voting has many applications in online elections, decentralized governance (DAOs), voting on community funding and more. Private ballots provide secrecy for individual voters, such that their votes are not disclosed, while guaranteeing correct tallying of the votes.

Logosat provides a solution for running private ballots using simple public-key encryption. Logosat publishes a public key to which voters can encrypt their votes, tallies the votes and reveals the result.

First, an operator requests Logosat to initialize a new ballot with a certain minimum of participants to guarantee k-anonimity. The public key is timestamped and signed, and its authenticity can be verified using Logosat’s public verification key.

The users then encrypt and sumbit their votes

# Operator Distribution Terms & Conditions

**Participation in the Distribution (as defined below) involves a high degree of risk. You should carefully review the information provided to you in connection herewith, together with all of the other information contained in these Terms (as defined below), before participating in the Distribution.**

1. General

Logos Collective Association, c/o PST Consulting GmbH, Baarerstrasse 10, 6300 Zug, Switzerland, (the "Association") and/or its affiliates, among other things, develop software relating to blockchain or distributed ledger technology or a similar technology, including the Ordinal project which is a collection of 5,000 Bitcoin ordinals, which are a unique, non-fungible digital asset created through ordinal theory on the Bitcoin blockchain and assigning of an identifier to an individual satoshi, allowing for the potential inscription of additional data or digital content, representing certain archetypes (the “Ordinals”). The following terms (the "Terms") relate to the distribution (the “Distribution”) of up to 5’000 Ordinals with the intended functionalities as defined in Section 3 below. These Terms do not constitute a prospectus of any sort, nor a solicitation or recommendation for investment, nor an offering of shares or equity, nor do they pertain to an offering of securities in any form or manner. <br>

2. Scope of Terms&#x20;

These Terms govern the distribution and your receipt of Ordinals from the Association.. By participating in the Distribution of the Ordinals herein, you (the “Receipient”) agree to be bound by these Terms. If the Recipient is obtaining the Ordinals on behalf of an entity (such as its employer), Recipient represents and warrants that it has the authority to bind such entity to these Terms. In that case, Recipient will refer to that other legal entity.<br>

3. The Project and the Ordinals

Each Ordinal represents one of ten archetypes that provides for certain benefits and uses within Logos (being, the “Project”). The Association intends that the Ordinals have multiple uses and benefits, including potentially earning more experience points and if staked on the Logos Operator Dashboard, receiving exclusive access in respect of Logos, to a discord channel, forum, and eligibility for an ambassador role to lead local communities.&#x20;

The description above and wherever mentioned by the Association is not binding in any way and may be modified by the Association and/or its affiliates at any time at their sole discretion. The entitlement to the Ordinals carries no rights, uses, purpose, attributes, functionalities or features, express or implied, including without limitation, any uses, purpose, attributes, functionalities or features in connection with the Project, other than as set out above, subject to limitations and conditions in these Terms. In particular, you acknowledge the Ordinals do not represent or confer any membership/ownership right, voting rights, or stake, share or security or equivalent rights, or any right to receive future revenue shares, intellectual property rights or any other form of participation in or relating to the Project or the Association. The Ordinals are not intended to be a security, commodity or any other kind of financial instrument. The Ordinals are not intended to serve, now or in the future, as an alternative means of payment.

The maximum cap (hard cap) on the total supply of Ordinals, in the aggregate, 5,000 (five thousand). At the time the Ordinals shall be allocated according to these Terms, it is intended that the Ordinals enable digital access to the Project and allow for participation as described above.<br>

4. Distribution of Ordinals are final

The distribution of Ordinals from the Association once received by you is final, and there are no returns cancellations, except as may be required by applicable law or regulation.&#x20;

Recipient acknowledges that it is required to meet certain requirements in order to participate in the Distribution, including, among others, the Recipient's residency and citizenship requirements, as well as compliance with these Terms. <br>

5. Payment

Purchaser shall pay the total purchase price to the Association, as determined by the Association in respect of the Ordinal they wish to purchase. If the Purchaser fails to pay the total purchase price, the Association will not deliver the Ordinals and shall be entitled to terminate the sale of Ordinals to the Purchaser without prejudice to other rights it may have against the Purchaser. The Association accepts payment for the total purchase price only in Bitcoin (BTC).&#x20;

Purchaser will also be solely responsible for any applicable service fees, network fees, including but not limited to transaction or gas fees, associated with the transfer or processing of such Ordinals. The Association will not be liable for any delays or failures in the distribution to the Recipient of an Ordinal caused by the Recipient's failure to provide for such fees.<br>

6. Delivery of Ordinals&#x20;

Provided that the representations and warranties in Section 9 of these Terms are true and provided that the Recipient has followed any instructions and met the criteria of the Association to receive the Ordinals,, the Ordinals (“Recipient Ordinals”) will be delivered to the Recipient’s wallet address (“Recipient Wallet Address”). The Recipient agrees and accepts that they has no right to claim and/or receive the Ordinals as long as these conditions precedent are not met.<br>

7. Intellectual property rights&#x20;

As part of the distribution of the Ordinals by the Association to the Recipient, the Association further grants to the Recipient a limited, non-exclusive, non-commercial, revocable license to:

1. display the corresponding image (“Ordinal Image”) to the Recipient Ordinal and for personal use only;
2. any other uses as the Association might grant in writing, whether in these Terms or otherwise.&#x20;

The Recipient acknowledges that the license is non-transferable except in connection with the subsequent transfer of the Recipient Ordinal. <br>

The Recipient acknowledges that the Ordinal Image and any associated content created from the Ordinal Image (excluding the Bitcoin ordinals) are original works of the Association and are protected by copyright and other intellectual property laws. The Association retains all rights, title, and interest in and to the Ordinal Image, including all other individual Ordinal Images, derivatives, modifications, and any related intellectual property rights (collectively referred to as “Association IP”). The Recipient acknowledges that, except for the limited rights granted under these Terms, the Recipient has no rights in or to the Association IP, and all rights not expressly granted herein are reserved by the Association. <br>

The Recipient shall not engage in any conduct that would infringe upon the Association IP, including but not limited to:

1. Reproducing, distributing, or publicly displaying the Ordinal Image outside the scope of these Terms;
2. Creating derivative works based on the Ordinal Image without prior written consent from the Association.<br>

The Association reserves the right to monitor the Recipient’s use of the Ordinal Image to ensure compliance with these Terms. The Association retains the right to take appropriate legal action against the Recipient in the event of any unauthorized use or infringement of its intellectual property rights.

8. Representations and Warranties of the Association

The Association hereby represents and warrants to the Recipient that:

1. the Association is duly organized and validly existing under the laws of the jurisdiction of its incorporation, and has the power to own and license its properties and to carry on its business as now being conducted and as presently proposed to be conducted;
2. the Association has full corporate power and authority to consummate the Distribution contemplated hereunder;
3. the execution and performance of the Distribution by the Association has been duly authorized by all necessary actions of the Association;
4. the consummation of the Distribution contemplated hereunder by the Association do not violate the provisions of the Association’s charter documents;
5. Representations and Warranties of the Recipient

The Recipient hereby represents and warrants to the Association that:<br>

1. the Recipient is an individual or a legal entity duly organized and validly existing under the laws of the jurisdiction of its incorporation;

2. the Recipient has full power and authority to enter into these Terms and receive the Ordinals;\ <br>

3. the Recipient has a good understanding of the English language, have read and understood the information and these Terms;<br>

4. the Recipient is (i) legally permitted to receive and hold and make use of the Ordinals in the Recipient’s jurisdiction and (ii) no legal restrictions exist in its country of residence or domicile for participating in the Distribution or purchasing the Ordinals;

5. these Terms are valid and binding upon the Recipient and enforceable in accordance with its terms;<br>

6. Recipient has no present intention of selling, granting any participation in, or otherwise distributing any interest the Recipient has with respect to the Distribution and the received Ordinals, or otherwise;<br>

7. the Recipient does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participations to such person or to any third person, with respect to the Distribution, and/or the received Ordinals;<br>

8. the Recipient is not acquiring Ordinals for the purpose of any investment, speculative or other financial purpose. The Recipient is acquiring Ordinals with the intention to utilize the Ordinals within the Project;<br>

9. the Recipient understand that the Ordinals (i) carry no rights, uses, purpose, attributes, functionalities or features, express or implied, other than as set out in Section 3, subject to limitations and conditions in these Terms; and (ii) confer no other rights of any form with respect to the Project or the Association, including, but not limited to, any voting, distribution, redemption, liquidation, proprietary (including all forms of intellectual property), or other financial or legal rights;&#x20;

10. the Recipient is familiar with digital cryptographic tokens issued by projects in the development stage and acknowledges that it is able to bear the risks of obtaining such tokens, and has such knowledge and experience in financial, business, and software technology matters that it is capable of evaluating the merits and risks of these Terms, the Ordinals, and the Project, and of making an informed decision in respect thereto;&#x20;

11. the Recipient acknowledges that the Ordinals do not represent or constitute any ownership right or stake, debt instrument, share or security or equivalent right in or relating to the Association, the Project and/or any software or intellectual property rights except for the limited license granted to Recipient under these Terms; <br>

12. the Recipient acknowledges that if any of the representations, warranties or covenants made by the Recipient pursuant to these Terms ceases to be true or if the Association no longer reasonably believes that it has satisfactory evidence as to their truth, notwithstanding any other agreement to the contrary, the Association shall not be obligated to allocate the Recipient Ordinals to the Recipient;<br>

13. the Recipient has received information that it regards as sufficient to fully evaluate these Terms, the Ordinals, and the Project;&#x20;

14. the Recipient confirms that it is not and has not been involved in any type of activity associated with money laundering, terror financing, or any other applicable anti-corruption or anti bribery legislation, nor was ever subject to any investigation by or has received a request for information from any governmental body relating to corruption or bribery. The Recipient hereby consents to the Association running any checks or enquiries with third parties and waives any privacy or other right in connection therewith and acknowledges that any breach of this representation by the Recipient will entitle the Association to terminate the Distribution;

15. the Recipient confirms that neither the Recipient nor, if applicable, any of its affiliates or direct or indirect beneficial owners are listed or associated with any person or entity that is (i) the subject of any sanctions administered or enforced by any governmental authority, (ii) listed on the Swiss SECO’s Overall List of Sanctioned Individuals, Entities and Organizations, or any of the US Department of Commerce’s Denied Persons or Entity List, the US Department of Treasury’s Specially Designated Nationals or Blocked Persons Lists, the US Department of State’s Debarred Parties List, the U.S. Department of Treasury’s Office of Foreign Assets Control (OFAC) or the EU Consolidated List of Persons, Groups and Entities Subject to EU Financial Sanctions; or included in the consolidated list published by the United Nations Security Council of individuals or entities subject to measures imposed by the United Nations Security Council accessible at <https://www.un.org/securitycouncil/content/un-sc-consolidated-list> or (iii) operationally based or domiciled in a country or territory in which sanctions imposed by Switzerland, United Nations, OFAC and/or the European Union apply;&#x20;

16. the Recipient hereby represents that neither it nor any person or entity directly or indirectly controlling, controlled by or under common control with it, is a person identified as a terrorist or terrorist organization on any relevant lists maintained by governmental authorities;&#x20;

17. the Recipient acknowledges that if any of the representations, warranties or covenants made by the Recipient pursuant to these Terms ceases to be true or if the Association no longer reasonably believes that it has satisfactory evidence as to their truth, notwithstanding any other agreement to the contrary, the Association shall not be obliged to allocate the Ordinals to the Recipient;&#x20;

18. without prejudice to the foregoing, the Recipient hereby represents and warrants to the Association that it has carefully reviewed and understands and accepts the various risks of participation in the Distribution, as further detailed in Section 12 of these Terms, including the risks associated with holding Ordinals, and the Recipient hereby consents to bear such risks.

19. Covenants of the Recipient

The Recipient hereby covenants to the Association the following:<br>

1. the Recipient agrees to cooperate in good faith with the Association. In particular, the Recipient covenants to have sufficient technical resources in order to claim the Ordinals as set forth in Section 6 of these Terms and to be familiar with and aware of the need to use the relevant blockchain network;<br>

2. the Recipient agrees that it will not transfer or seek to transfer any rights under these Terms (including any right to claim Ordinals), and any attempt to transfer any such rights in violation of this provision is void ab initio. For the avoidance of doubt, the foregoing shall not restrict the right of the Recipient to transfer the Ordinals after delivery of the Ordinals;

3. the Recipient agrees that if any of the representations, warranties or covenants made by the Recipient ceases to be true, Recipient shall immediately notify the Association of such occurrence;

4. the Recipient agrees that all taxes, fees, and dues which arise by receiving and accepting the Ordinals, have to be paid by the Recipient, except for the cases where such taxes, fees, and dues are specifically required by law to be paid by the Association;<br>

5. the Recipient agrees to provide to the Association any additional information regarding the Recipient that the Association deems necessary or convenient to ensure compliance with all applicable laws concerning money laundering and similar activities;

6. the Recipient shall implement reasonable and appropriate measures designed to secure access to: (i) any device associated with the Recipient and utilized in connection with the Recipient’s receipt of the Ordinals; (ii) private keys to Recipient's wallet address or account; and (iii) any other username, passwords or other login or identifying credentials.&#x20;

7. the Recipient understands that the Association may release confidential information about the Recipient and, if applicable, any underlying beneficial owners, if the Association, at its sole discretion, determines that it is in the best interests of the Association in light of relevant rules and regulations; and

8. the Recipient hereby undertakes to promptly notify the Association if at any time the Recipient is unable to satisfy the agreements set forth herein or if the representations set forth herein cease to be true.

9. Information & Representations and Warranties of the Recipient regarding Securities Laws

The Recipient understands that the Ordinals have not been, and will not be, registered under any jurisdiction's securities laws, in particular the U.S. Securities Act of 1933, as amended (the "Securities Act'). The Recipient hereby agrees and represents to the Association as follows:

1. the Recipient is not a U.S. Person as defined in Rule 902(k) of Regulation S under the Securities Act. The Distribution herein, to the extent it is considered an “offer and sale”, was made in an offshore transaction (as defined in Rule 902(h) of Regulation S), no directed selling efforts (as defined in Rule 902(c) of Regulation S) were made in the United States, the Recipient has been outside the United States when it received any information concerning the Project and the Distribution, and the Recipient is not acquiring the Ordinals for the account or benefit of any U.S. Person;<br>
2. the Recipient will not offer or sell the Ordinals in the United States, or offer or sell the Recipient Ordinals for the account or benefit of a U.S. Person;<br>
3. neither the Recipient nor any person acting on its behalf has engaged, or will engage, in any directed selling efforts to any U.S. Persons with respect to the Ordinals; and<br>
4. the Recipient represents and warrants that the rights and Ordinals hereunder have not been acquired with a view to, or in connection with, the sale or distribution thereof and will not be transferred in the United States to, or for the account or benefit of, any U.S. person except pursuant to an available exemption from the registration requirements of the Securities act and all applicable state securities laws.<br>

Recipient and Association will use their best efforts in avoiding US security law issue(s) and completing the Distribution. In case US security law issue(s) arises, the Parties shall use their best efforts to take all actions required to mitigate the risk for the Parties and to achieve compliance with regard to US security laws.&#x20;

12. Acknowledgment and Assumption of Risks&#x20;

The Recipient acknowledges that there are risks associated with receiving the Ordinals, holding Ordinals, and using Ordinals, including, without limitation, the following: <br>

1. risk of software weaknesses: the Recipient understands and accepts that involved software and technology and technical concepts and theories are still in an early development stage and unproven, whereby there is no warranty that the process for receiving, use and ownership of Ordinals will be uninterrupted or error-free and why there is an inherent risk that the software and related technologies and theories could contain weaknesses, vulnerabilities or bugs causing, inter alia, the complete loss of Ordinals. The Recipient understands and accepts that the software and hardware, technology and technical concepts and theories applicable to Ordinals (as well as virtual currency Ordinals in general) is still in an early development stage and unproven, there is no warranty that the technology will be uninterrupted or error-free and there is an inherent risk that the technology could contain weaknesses, vulnerabilities or bugs causing, inter alia, the complete loss of the Ordinals;

2. regulatory risk: the Recipient understands and accepts that blockchain technology allows new forms of interaction and that it is possible that certain jurisdictions will apply existing regulations on, or introduce new regulations addressing, blockchain technology based applications, which may be contrary to the current setup and which may, inter alia, , the loss of all Ordinals and the value thereof for the Recipient. Further, the Recipient accepts and bears all risks with respect to securities, anti-money laundering, commodities and other regulations that may regulate the Association and/or the Ordinals;

3. risk of legal qualification: the Recipient understands and accepts that the legal structure of Ordinals is relatively new, and no relevant prejudices are available. Therefore, the risk remains that a court may come to the conclusion that the underlying rights cannot be transferred validly by transfer of the Ordinals alone;

4. third party risks: the Association might use third parties as service providers for certain aspects of the Distribution. The Association has no visibility into, or possibility to control, the software or mechanisms used by such third party, and cannot verify or guarantee the proper functionality of the third party software or operations;

5. lack of any intrinsic value/benefits/uses: the Recipient understands and accepts Ordinals has no intrinsic value and might have no functionality, benefits or uses in respect of the Project and may become worthless;<br>

6. risk of theft and attacks: the Recipient understands and accepts that the underlying software application and software of the Ordinals , the internet, any blockchain network, and other involved software, technology components, decentralized applications may be exposed to attacks by hackers or other individuals that could result in theft or loss of the Ordinals;

7. risk of blockchain mining attacks: the Recipient understands and accepts that, blockchain based systems, such as the Bitcoin network, are dependent upon independent miners and they are susceptible to mining attacks including but not limited to double-spend attacks, majority mining power attacks, “selfish-mining” attacks, and race condition attacks plus any number of as-yet unknown attack vectors on the unique technologies and mechanisms of the Bitcoin network . Any successful attacks present a risk to the Bitcoin network, expected proper execution and sequencing of Ordinal transactions, and expected proper execution and sequencing of software computations;<br>

8. risk of market decline: the growth of the blockchain industry in general is subject to a high degree of uncertainty and may experience a decline or be materially impacted, which could materially affect the use of the Ordinal;

9. volatility risks: the prices of blockchain assets such as Bitcoin have historically been subject to dramatic fluctuations and are highly volatile, and the market price of the Ordinals may also be highly volatile. In addition, a decrease in the price of a single blockchain asset may cause volatility in the entire blockchain asset industry and may affect other blockchain assets including the Ordinals;

10. risk of insufficient Ordinal liquidity / loss of value: the Recipient understands that regarding the Ordinals no access to exchanges or market liquidity may be guaranteed and that the value (if any) of the Ordinals over time may experience extreme volatility or depreciate resulting in loss that will be borne exclusively by the Recipient;&#x20;

11. risk of uncertain tax treatment: the tax treatment of acquiring, holding and where permitted, selling, exchanging or otherwise disposing of the Ordinals is uncertain, and the Recipient must seek its own tax advice. Acquiring, holding and where permitted, selling, exchanging or otherwise disposing of the Ordinals may result in adverse tax consequences to Recipients, including liability for income taxes and responsibility for complying with certain tax reporting requirements. The Recipient should consult with and must rely upon the advice of its own tax advisors; and

12. risk of loss of private key: the Ordinals can only be accessed by using a combination of Recipient’s information (Recipient Wallet Address and private key). The Recipient understands and accepts that if their private key file or password of the Recipient Wallet Address were lost or stolen, the allocated Ordinals associated with the Recipient Wallet Address would be unrecoverable and would be permanently lost. The Association has no control over the Ordinals once the Recipient receives the Ordinals; therefore, the Recipient shall have no recourse to seek any refunds, recovery or replacements from the Association in the event of a Recipient losing possession of its Recipient Wallet Address through a loss, mismanagement or theft of access keys and/or passwords.<br>

The Ordinals involve a high degree of risk, including the potential risk of expiring worthless.<br>

13. Disclaimers<br>

12.1 Recipient Wallet Address

The Recipient assumes full responsibility and liability for any losses resulting from (i) any intentional or unintentional misuse of Recipient Wallet Address including, without limitation, any loss resulting from designating a wallet that is non-compliant with the relevant blockchain for the receipt of the Ordinals, or depositing one type of digital asset to a wallet intended for another type of digital asset, (ii) any intentional or unintentional loss of private key of the Recipient Wallet Address and (iii) any intentional or unintentional sharing of private key of the Recipient Wallet Address with anyone else. The Association assumes no responsibility or liability in connection with any such misuse.

12.2 Indemnity

The Association shall not be liable to the Recipient, and the Recipient will indemnify, defend and hold harmless the Association and its directors, officers, agents and advisors, and the successors and assigns of the foregoing, from and against, all or any part of any third party causes of action, claims, liabilities, losses, costs, damages and expenses (including, without limitation, attorneys’ fees and expenses) (collectively “Claims”) for damages to or loss of property arising out of or resulting from the transactions contemplated herein, except to the extent such Claims arise from the bad faith or intentional misconduct of the Association.<br>

To the fullest extent permitted by applicable law, the Recipient releases the Association from all responsibility, liability, claims, demands and damages (actual and consequential) of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to the use of Ordinals, excluding the case of gross negligence, fraud, wilful misconduct by the Association, or otherwise set forth in these Terms).

12.3 Limitation of Liability

Neither the Association nor any other party involved in the Distribution contemplated herein will be liable for any incidental, special, exemplary or consequential damages, or damages for lost profits, lost revenues, lost savings, lost business opportunity, loss of data or goodwill, service interruption, computer damage or system failure or the cost of substitute activities of any kind arising out of or in connection with these Terms or the Recipient’s participation in, or inability to participate in, the contemplated Distribution, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not the Association or any other person has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply. In no event will the Association’s total liability to the Recipient arising out of or in connection with these Terms or from the Recipient’s participation in, or inability to participate in, the contemplated Distribution exceed USD 100 (one hundred US dollars) The exclusions and limitations of damages set forth above are fundamental elements of the basis of the bargain between the Association and the Recipient.<br>

12.4 Class Action Waiver

Any Claims or disputes arising under these Terms will take place on an individual basis without resort to any form of class or representative action (the “Class Action Waiver”). This Class Action Waiver precludes any party from participating in or being represented in any class or representative action regarding a Claim. Regardless of anything else in these Terms to the contrary, the validity and effect of the Class Action Waiver may be determined only by a court or referee and not by an arbitrator, and Recipient acknowledges that this Class Action Waiver is material and essential to the arbitration of any disputes between the parties and is non-severable from these Terms.

12.5 No other representation or warranty

The Association does not give any other representation or warranty with respect to the Ordinals or the Association and the applicability of Articles 97 (in this respect) and 197 et seq. of the Swiss Code of Obligations is explicitly excluded.

14. Taxes&#x20;

Recipient is solely responsible for determining what, if any, taxes apply to your receipt of the Ordinals, including, for example, sales, use, value added, and similar taxes. It is also the Recipient’s sole responsibility to withhold, collect, report and remit the correct taxes to the appropriate tax authorities. The Association is not responsible for withholding, collecting, reporting, or remitting any sales, use, value added, or similar tax arising from Recipient’s receipt of the Ordinals.&#x20;

15. Severability&#x20;

If any term or provision of these Terms is invalid, illegal or unenforceable in any jurisdiction, it will be so held to the minimum extent required by law and such invalidity, illegality or unenforceability shall not affect any other term or provision these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction. Upon a determination that any term or provision is invalid, illegal or unenforceable, the parties hereto shall negotiate in good faith to modify these Terms to effect the original intent of the parties as closely as possible in order that the transactions contemplated hereby be consummated as originally contemplated to the greatest extent possible.&#x20;

16. Transfer and Assignment&#x20;

The Recipient must not transfer or seek to transfer any rights under these Terms (including any right to receive Ordinals), and any attempt to transfer any such rights in violation of this provision is void ab initio. For the avoidance of doubt, the foregoing shall not restrict the right of the Recipient to transfer Ordinals claimed after the delivery of the Ordinals. <br>

17. Entire Agreement&#x20;

These Terms constitute the sole and entire agreement and understanding of the parties relating to the subject matter herein and supersede all prior or contemporaneous disclosures, discussions, understandings and agreements, whether oral or written, between them.

18. Notices to the Association

Any notice required or permitted by these Terms to the Association will be deemed sufficient when sent by email to the relevant address listed on the front page of these Terms.

19. Applicable Law and Jurisdiction&#x20;

These Terms will be governed by and construed and enforced in accordance with the laws of Switzerland, excluding the United Nations Convention on Contracts for the International Sale of Goods dated 11 April 1980 (CISG), as amended from time to time. <br>

Any dispute arising out of or relating to these Terms and the Distribution, including disputes on its conclusion, binding effect, amendment and termination, shall be resolved by the ordinary courts in Zug, Switzerland. \ <br>

**Public Round Sales Terms**

1. General

Logos Collective Association, c/o PST Consulting GmbH, Baarerstrasse 10, 6300 Zug, Switzerland, (the "Association") and/or its affiliates, among other things, develop software relating to blockchain or distributed ledger technology or a similar technology, including the Ordinal project which is a collection of 5,000 Bitcoin ordinals, which are a unique, non-fungible digital asset created through ordinal theory on the Bitcoin blockchain and assigning of an identifier to an individual satoshi, allowing for the potential inscription of additional data or digital content, representing certain archetypes (the “Ordinals”). The following terms (the "Terms") relate to the public round of sales (the “Sales”) of any remaining Ordinals following an earlier distribution, with the intended functionalities as defined in Section 3 below. These Terms do not constitute a prospectus of any sort, nor a solicitation or recommendation for investment, nor an offering of shares or equity, nor do they pertain to an offering of securities in any form or manner.&#x20;

2. Scope of Terms&#x20;

These Terms govern your purchase of Ordinals from the Association. By purchasing the Ordinals, you (the “Purchaser”) agree to be bound by these Terms. If the Purchaser is purchasing the Ordinals on behalf of an entity (such as its employer), Purchaser represents and warrants that it has the authority to bind such entity to these Terms. In that case, Purchaser will refer to that other legal entity.

3. The Project and the Ordinals

Each Ordinal represents one of ten archetypes that provides for certain benefits and uses within Logos (being, the “Project”). The Association intends that the Ordinals have multiple uses and benefits, including potentially earning more experience points and if staked on the Logos Operator Dashboard, receiving exclusive access in respect of Logos, to a discord channel, forum, and eligibility for an ambassador role to lead local communities. <br>

The description above and wherever mentioned by the Association is not binding in any way and may be modified by the Association and/or its affiliates at any time at their sole discretion. The entitlement to the Ordinals carries no rights, uses, purpose, attributes, functionalities or features, express or implied, including without limitation, any uses, purpose, attributes, functionalities or features in connection with the Project, other than as set out above, subject to limitations and conditions in these Terms. In particular, you acknowledge the Ordinals do not represent or confer any membership/ownership right, voting rights, or stake, share or security or equivalent rights, or any right to receive future revenue shares, intellectual property rights or any other form of participation in or relating to the Project or the Association. The Ordinals are not intended to be a security, commodity or any other kind of financial instrument. The Ordinals are not intended to serve, now or in the future, as an alternative means of payment.<br>

The maximum cap (hard cap) on the total supply of Ordinals, in the aggregate, 5,000 (five thousand). At the time the Ordinals shall be allocated according to these Terms, it is intended that the Ordinals enable digital access to the Project and allow for participation as described above. <br>

4. Refusal of Purchase Requests, Cancellation

Your purchase of Ordinals from the Association is final, and there are no refunds or cancellations, except as may be required by applicable law or regulation.&#x20;

Purchaser acknowledges that it is required to meet certain requirements in order to participate in the Sales, including, among others, the Purchaser's residency and citizenship requirements, as well as compliance with these Terms.&#x20;

5. Payment

Purchaser shall pay the total purchase price to the Association, as determined by the Association in respect of the Ordinal they wish to purchase. If the Purchaser fails to pay the total purchase price, the Association will not deliver the Ordinals and shall be entitled to terminate the sale of Ordinals to the Purchaser without prejudice to other rights it may have against the Purchaser. The Association accepts payment for the total purchase price only in Bitcoin (BTC).&#x20;

Purchaser will also be solely responsible for any applicable service fees, network fees, including but not limited to transaction or gas fees, associated with the transfer or processing of such Ordinals. The Association will not be liable for any delays or failures in the distribution to the Recipient of an Ordinal caused by the Recipient's failure to provide for such fees.

6. Delivery of Ordinals&#x20;

Provided that the representations and warranties in Section 9 of these Terms are true and provided that the Purchaser has paid the total purchase price, the Ordinals (“Purchaser Ordinals”) will be delivered to the Purchaser’s wallet address (“Purchaser Wallet Address”). The Purchaser agrees and accepts that the Purchaser has no right to claim and/or receive the Purchaser Ordinals as long as these conditions precedent are not met.

7. Intellectual property rights&#x20;

As part of the delivery of the Ordinals by the Association to the Purchaser, the Association further grants to the Purchaser a limited, non-exclusive, non-commercial, revocable license to:

1. display the corresponding image (“Ordinal Image”) to the Purchaser Ordinal and for personal use only;
2. any other uses as the Association might grant in writing, whether in these Terms or otherwise. <br>

The Purchaser acknowledges that the license is non-transferable except in connection with the subsequent transfer of the Purchaser Ordinal.&#x20;

The Purchaser acknowledges that the Ordinal Image and any associated content created from the Ordinal Image (excluding the Bitcoin ordinals) are original works of the Association and are protected by copyright and other intellectual property laws. The Association retains all rights, title, and interest in and to the Ordinal Image, including all other individual Ordinal Images, derivatives, modifications, and any related intellectual property rights (collectively referred to as “Association IP”). The Purchaser acknowledges that, except for the limited rights granted under these Terms, the Purchaser has no rights in or to the Association IP, and all rights not expressly granted herein are reserved by the Association. <br>

The Purchaser shall not engage in any conduct that would infringe upon the Association IP, including but not limited to:

1. Reproducing, distributing, or publicly displaying the Ordinal Image outside the scope of these Terms;
2. Creating derivative works based on the Ordinal Image without prior written consent from the Association.

The Association reserves the right to monitor the Purchaser’s use of the Ordinal Image to ensure compliance with these Terms. The Association retains the right to take appropriate legal action against the Purchaser in the event of any unauthorized use or infringement of its intellectual property rights.

8. Representations and Warranties of the Association

The Association hereby represents and warrants to the Purchaser that:

1. the Association is duly organized and validly existing under the laws of the jurisdiction of its incorporation, and has the power to own and license its properties and to carry on its business as now being conducted and as presently proposed to be conducted;

2. the Association has full corporate power and authority to consummate the transactions contemplated hereunder;

3. the execution and performance of the Sales by the Association has been duly authorized by all necessary actions of the Association;

4. the consummation of the transactions contemplated hereunder and the performance of the Sales by the Association do not violate the provisions of the Association’s charter documents;

5. Representations and Warranties of the Purchaser

The Purchaser hereby represents and warrants to the Association that:

1. the Purchaser is an individual or a legal entity duly organized and validly existing under the laws of the jurisdiction of its incorporation;<br>

2. the Purchaser has full power and authority to consummate the transactions contemplated hereunder;

3. the execution and performance of the sale of Ordinals governed by these Terms have been duly authorized by all necessary actions of the Purchaser;

4. the Purchaser has a good understanding of the English language, have read and understood the information and these Terms;

5. the Purchaser is (i) legally permitted to receive and hold and make use of the Ordinals in the Purchaser’s jurisdiction and (ii) no legal restrictions exist in its country of residence or domicile for participating in the Sales or purchasing the Ordinals;<br>

6. these Terms are valid and binding upon the Purchaser and enforceable in accordance with its terms;<br>

7. the total purchase price is paid on Purchaser’s own account, not as a nominee or agent, and not with a view to assign any part thereof, and Purchaser has no present intention of selling, granting any participation in, or otherwise distributing any interest the Purchaser has with respect to the Sales and the purchased Ordinals, or otherwise;

8. the Purchaser does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participations to such person or to any third person, with respect to the Sales, the total purchase price, and/or the purchased Ordinals;<br>

9. the Purchaser is not acquiring Ordinals for the purpose of any investment, speculative or other financial purpose. The Purchaser is acquiring Ordinals with the intention to utilize the Ordinals within the Project;<br>

10. the Purchaser understand that the Ordinals (i) carry no rights, uses, purpose, attributes, functionalities or features, express or implied, other than as set out in Section 3, subject to limitations and conditions in these Terms; and (ii) confer no other rights of any form with respect to the Project or the Association, including, but not limited to, any voting, distribution, redemption, liquidation, proprietary (including all forms of intellectual property), or other financial or legal rights; <br>

11. the Purchaser is familiar with digital cryptographic tokens issued by projects in the development stage and acknowledges that it is able to bear the economic risk of its purchase of tokens, and has such knowledge and experience in financial, business, and software technology matters that it is capable of evaluating the merits and risks of these Terms, the Ordinals, and the Project, and of making an informed decision in respect thereto; <br>

12. the Purchaser acknowledges that the Ordinals do not represent or constitute any ownership right or stake, debt instrument, share or security or equivalent right in or relating to the Association, the Project and/or any software or intellectual property rights except for the limited license granted to Purchaser under these Terms;&#x20;

13. the Purchaser acknowledges that if any of the representations, warranties or covenants made by the Purchaser pursuant to these Terms ceases to be true or if the Association no longer reasonably believes that it has satisfactory evidence as to their truth, notwithstanding any other agreement to the contrary, the Association shall not be obligated to allocate the Purchaser Ordinals to the Purchaser;

14. the Purchaser has received information that it regards as sufficient to fully evaluate these Terms, the Ordinals, and the Project;&#x20;

15. the Purchaser confirms that it is not and has not been involved in any type of activity associated with money laundering, terror financing, or any other applicable anti-corruption or anti bribery legislation, nor was ever subject to any investigation by or has received a request for information from any governmental body relating to corruption or bribery. The Purchaser hereby consents to the Association running any checks or enquiries with third parties and waives any privacy or other right in connection therewith and acknowledges that any breach of this representation by the Purchaser will entitle the Association to terminate the sale of the Ordinal;<br>

16. the Purchaser confirms that neither the Purchaser nor, if applicable, any of its affiliates or direct or indirect beneficial owners are listed or associated with any person or entity that is (i) the subject of any sanctions administered or enforced by any governmental authority, (ii) listed on the Swiss SECO’s Overall List of Sanctioned Individuals, Entities and Organizations, or any of the US Department of Commerce’s Denied Persons or Entity List, the US Department of Treasury’s Specially Designated Nationals or Blocked Persons Lists, the US Department of State’s Debarred Parties List, the U.S. Department of Treasury’s Office of Foreign Assets Control (OFAC) or the EU Consolidated List of Persons, Groups and Entities Subject to EU Financial Sanctions; or included in the consolidated list published by the United Nations Security Council of individuals or entities subject to measures imposed by the United Nations Security Council accessible at <https://www.un.org/securitycouncil/content/un-sc-consolidated-list> or (iii) operationally based or domiciled in a country or territory in which sanctions imposed by Switzerland, United Nations, OFAC and/or the European Union apply;&#x20;

17. the Purchaser hereby represents that neither it nor any person or entity directly or indirectly controlling, controlled by or under common control with it, is a person identified as a terrorist or terrorist organization on any relevant lists maintained by governmental authorities; <br>

18. the Purchaser acknowledges that if any of the representations, warranties or covenants made by the Purchaser pursuant to these Terms ceases to be true or if the Association no longer reasonably believes that it has satisfactory evidence as to their truth, notwithstanding any other agreement to the contrary, the Association shall not be obliged to allocate the Ordinals to the Purchaser;&#x20;

19. none of the cash or property that the Purchaser has paid, or will pay the Association as purchase price has been or shall be derived from, or related to, any activity that is deemed criminal under the laws of any applicable jurisdiction; and

20. without prejudice to the foregoing, the Purchaser hereby represents and warrants to the Association that it has carefully reviewed and understands and accepts the various risks of participation in the Sales, as further detailed in Section 12 of these Terms, including the risks associated with holding Ordinals, and the Purchaser hereby consents to bear such risks.

21. Covenants of the Purchaser

The Purchaser hereby covenants to the Association the following:

1. the Purchaser agrees to cooperate in good faith with the Association. In particular, the Purchaser covenants to have sufficient technical resources in order to claim the Ordinals as set forth in Section 6 of these Terms and to be familiar with and aware of the need to use the relevant blockchain network;<br>

2. the Purchaser agrees to pay the total purchase price from the Purchaser Wallet Address; <br>

3. the Purchaser agrees that it will not transfer or seek to transfer any rights under these Terms (including any right to claim Ordinals), and any attempt to transfer any such rights in violation of this provision is void ab initio. For the avoidance of doubt, the foregoing shall not restrict the right of the Purchaser to transfer the Ordinals after delivery of the Ordinals;

4. the Purchaser agrees that if any of the representations, warranties or covenants made by the Purchaser ceases to be true, Purchaser shall immediately notify the Association of such occurrence;

5. the Purchaser agrees that all taxes, fees, and dues which arise by receiving and accepting the Ordinals, have to be paid by the Purchaser, except for the cases where such taxes, fees, and dues are specifically required by law to be paid by the Association;

6. the Purchaser agrees to provide to the Association any additional information regarding the Purchaser that the Association deems necessary or convenient to ensure compliance with all applicable laws concerning money laundering and similar activities;

7. the Purchaser shall implement reasonable and appropriate measures designed to secure access to: (i) any device associated with the Purchaser and utilized in connection with your purchase of Ordinals; (ii) private keys to Purchaser's wallet address or account; and (iii) any other username, passwords or other login or identifying credentials.&#x20;

8. the Purchaser understands that the Association may release confidential information about the Purchaser and, if applicable, any underlying beneficial owners, if the Association, at its sole discretion, determines that it is in the best interests of the Association in light of relevant rules and regulations; and

9. the Purchaser hereby undertakes to promptly notify the Association if at any time the Purchaser is unable to satisfy the agreements set forth herein or if the representations set forth herein cease to be true.

10. Information & Representations and Warranties of the Purchaser regarding Securities Laws

The Purchaser understands that the Ordinals have not been, and will not be, registered under any jurisdiction's securities laws, in particular the U.S. Securities Act of 1933, as amended (the "Securities Act'). The Purchaser hereby agrees and represents to the Association as follows:

1. the Purchaser is not a U.S. Person as defined in Rule 902(k) of Regulation S under the Securities Act. The offer and sale of the Ordinals herein was made in an offshore transaction (as defined in Rule 902(h) of Regulation S), no directed selling efforts (as defined in Rule 902(c) of Regulation S) were made in the United States, the Purchaser has been outside the United States when it received any information concerning the Project and the Sales, and the Purchaser is not acquiring the Ordinals for the account or benefit of any U.S. Person;<br>

2. the Purchaser will not offer or sell the Ordinals in the United States, or offer or sell the Purchaser Ordinals for the account or benefit of a U.S. Person;

3. neither the Purchaser nor any person acting on its behalf has engaged, or will engage, in any directed selling efforts to any U.S. Persons with respect to the Ordinals; and

4. the Purchaser represents and warrants that the rights and Ordinals hereunder have not been acquired with a view to, or in connection with, the sale or distribution thereof and will not be transferred in the United States to, or for the account or benefit of, any U.S. person except pursuant to an available exemption from the registration requirements of the Securities act and all applicable state securities laws.<br>

Purchaser and Association will use their best efforts in avoiding US security law issue(s) and completing the transaction. In case US security law issue(s) arises, the Parties shall use their best efforts to take all actions required to mitigate the risk for the Parties and to achieve compliance with regard to US security laws.&#x20;

12. Acknowledgment and Assumption of Risks&#x20;

The Purchaser acknowledges that there are risks associated with purchasing the Ordinals, holding Ordinals, and using Ordinals, including, without limitation, the following:&#x20;

1. risk of software weaknesses: the Purchaser understands and accepts that involved software and technology and technical concepts and theories are still in an early development stage and unproven, whereby there is no warranty that the process for receiving, use and ownership of Ordinals will be uninterrupted or error-free and why there is an inherent risk that the software and related technologies and theories could contain weaknesses, vulnerabilities or bugs causing, inter alia, the complete loss of Ordinals. The Purchaser understands and accepts that the software and hardware, technology and technical concepts and theories applicable to Ordinals (as well as virtual currency Ordinals in general) is still in an early development stage and unproven, there is no warranty that the technology will be uninterrupted or error-free and there is an inherent risk that the technology could contain weaknesses, vulnerabilities or bugs causing, inter alia, the complete loss of the Ordinals and the Purchaser’s total purchase price;

2. regulatory risk: the Purchaser understands and accepts that blockchain technology allows new forms of interaction and that it is possible that certain jurisdictions will apply existing regulations on, or introduce new regulations addressing, blockchain technology based applications, which may be contrary to the current setup and which may, inter alia, , the loss of all Ordinals and the value thereof for the Purchaser. Further, the Purchaser accepts and bears all risks with respect to securities, anti-money laundering, commodities and other regulations that may regulate the Association, the total purchase price and/or the Ordinals;

3. risk of legal qualification: the Purchaser understands and accepts that the legal structure of Ordinals is relatively new, and no relevant prejudices are available. Therefore, the risk remains that a court may come to the conclusion that the underlying rights cannot be transferred validly by transfer of the Ordinals alone;

4. third party risks: the Association might use third parties as service providers for certain aspects of the Sales. The Association has no visibility into, or possibility to control, the software or mechanisms used by such third party, and cannot verify or guarantee the proper functionality of the third party software or operations;<br>

5. lack of any intrinsic value/benefits/uses: the Purchaser understands and accepts Ordinals has no intrinsic value and might have no functionality, benefits or uses in respect of the Project and may become worthless;

6. risk of theft and attacks: the Purchaser understands and accepts that the underlying software application and software of the Ordinals , the internet, any blockchain network, and other involved software, technology components, decentralized applications may be exposed to attacks by hackers or other individuals that could result in theft or loss of the Ordinals and the Purchaser’s entire purchase price;

7. risk of blockchain mining attacks: the Purchaser understands and accepts that, blockchain based systems, such as the Bitcoin network, are dependent upon independent miners and they are susceptible to mining attacks including but not limited to double-spend attacks, majority mining power attacks, “selfish-mining” attacks, and race condition attacks plus any number of as-yet unknown attack vectors on the unique technologies and mechanisms of the Bitcoin network . Any successful attacks present a risk to the Bitcoin network, expected proper execution and sequencing of Ordinal transactions, and expected proper execution and sequencing of software computations;<br>

8. risk of market decline: the growth of the blockchain industry in general is subject to a high degree of uncertainty and may experience a decline or be materially impacted, which could materially affect the use of the Ordinal;<br>

9. volatility risks: the prices of blockchain assets such as Bitcoin have historically been subject to dramatic fluctuations and are highly volatile, and the market price of the Ordinals may also be highly volatile. In addition, a decrease in the price of a single blockchain asset may cause volatility in the entire blockchain asset industry and may affect other blockchain assets including the Ordinals;<br>

10. risk of insufficient Ordinal liquidity / loss of value: the Purchaser understands that regarding the Ordinals no access to exchanges or market liquidity may be guaranteed and that the value (if any) of the Ordinals over time may experience extreme volatility or depreciate resulting in loss that will be borne exclusively by the Purchaser; <br>

11. risk of uncertain tax treatment: the tax treatment of acquiring, holding and where permitted, selling, exchanging or otherwise disposing of the Ordinals is uncertain, and the Purchaser must seek its own tax advice. Acquiring, holding and where permitted, selling, exchanging or otherwise disposing of the Ordinals may result in adverse tax consequences to Purchasers, including liability for income taxes and responsibility for complying with certain tax reporting requirements. The Purchaser should consult with and must rely upon the advice of its own tax advisors; and<br>

12. risk of loss of private key: the Ordinals can only be accessed by using a combination of Purchaser’s information (Purchaser Wallet Address and private key). The Purchaser understands and accepts that if their private key file or password of the Purchaser Wallet Address were lost or stolen, the allocated Ordinals associated with the Purchaser Wallet Address would be unrecoverable and would be permanently lost. The Association has no control over the Ordinals once the Purchase receives the Ordinals; therefore, the Purchaser shall have no recourse to seek any refunds, recovery or replacements from the Association in the event of a Purchaser losing possession of its Purchaser Wallet Address through a loss, mismanagement or theft of access keys and/or passwords.

The Ordinals involve a high degree of risk, including the potential risk of expiring worthless. You should be prepared in certain circumstances to sustain a total loss of the total purchase price.<br>

13. Disclaimers<br>

12.1 Purchaser Wallet Address

The Purchaser assumes full responsibility and liability for any losses resulting from (i) any intentional or unintentional misuse of Purchaser Wallet Address including, without limitation, any loss resulting from designating a wallet that is non-compliant with the relevant blockchain for the receipt of the Ordinals, or depositing one type of digital asset to a wallet intended for another type of digital asset, (ii) any intentional or unintentional loss of private key of the Purchaser Wallet Address and (iii) any intentional or unintentional sharing of private key of the Purchaser Wallet Address with anyone else. The Association assumes no responsibility or liability in connection with any such misuse.<br>

12.2 Indemnity

The Association shall not be liable to the Purchaser, and the Purchaser will indemnify, defend and hold harmless the Association and its directors, officers, agents and advisors, and the successors and assigns of the foregoing, from and against, all or any part of any third party causes of action, claims, liabilities, losses, costs, damages and expenses (including, without limitation, attorneys’ fees and expenses) (collectively “Claims”) for damages to or loss of property arising out of or resulting from the transactions contemplated herein, except to the extent such Claims arise from the bad faith or intentional misconduct of the Association.<br>

To the fullest extent permitted by applicable law, the Purchaser releases the Association from all responsibility, liability, claims, demands and damages (actual and consequential) of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to the use of Ordinals, excluding the case of gross negligence, fraud, wilful misconduct by the Association, or otherwise set forth in these Terms).

12.3 Limitation of Liability

Neither the Association nor any other party involved in the transaction contemplated herein will be liable for any incidental, special, exemplary or consequential damages, or damages for lost profits, lost revenues, lost savings, lost business opportunity, loss of data or goodwill, service interruption, computer damage or system failure or the cost of substitute activities of any kind arising out of or in connection with these Terms or the Purchaser’s participation in, or inability to participate in, the contemplated transaction, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not the Association or any other person has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply. In no event will the Association’s total liability to the Purchaser arising out of or in connection with these Terms or from the purchaser’s participation in, or inability to participate in, the contemplated transaction exceed the total purchase price (denominated in USD at the time of the sale). The exclusions and limitations of damages set forth above are fundamental elements of the basis of the bargain between the Association and the Purchaser.

12.4 Class Action Waiver

Any Claims or disputes arising under these Terms will take place on an individual basis without resort to any form of class or representative action (the “Class Action Waiver”). This Class Action Waiver precludes any party from participating in or being represented in any class or representative action regarding a Claim. Regardless of anything else in these Terms to the contrary, the validity and effect of the Class Action Waiver may be determined only by a court or referee and not by an arbitrator, and Purchaser acknowledges that this Class Action Waiver is material and essential to the arbitration of any disputes between the parties and is non-severable from these Terms.

12.5 No other representation or warranty

The Association does not give any other representation or warranty with respect to the Ordinals or the Association and the applicability of Articles 97 (in this respect) and 197 et seq. of the Swiss Code of Obligations is explicitly excluded.

14. Taxes&#x20;

The price of the Ordinals includes all taxes (if any) due by Association for the sale of the Ordinals under the laws of Switzerland. Purchaser is solely responsible for determining what, if any, taxes apply to your purchase of the Ordinals, including, for example, sales, use, value added, and similar taxes. It is also Purchaser’s sole responsibility to withhold, collect, report and remit the correct taxes to the appropriate tax authorities. The Association is not responsible for withholding, collecting, reporting, or remitting any sales, use, value added, or similar tax arising from Purchaser’s purchase of the Ordinals. <br>

15. Severability&#x20;

If any term or provision of these Terms is invalid, illegal or unenforceable in any jurisdiction, it will be so held to the minimum extent required by law and such invalidity, illegality or unenforceability shall not affect any other term or provision these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction. Upon a determination that any term or provision is invalid, illegal or unenforceable, the parties hereto shall negotiate in good faith to modify these Terms to effect the original intent of the parties as closely as possible in order that the transactions contemplated hereby be consummated as originally contemplated to the greatest extent possible. <br>

16. Transfer and Assignment&#x20;

The Purchaser must not transfer or seek to transfer any rights under these Terms (including any right to receive Ordinals), and any attempt to transfer any such rights in violation of this provision is void ab initio. For the avoidance of doubt, the foregoing shall not restrict the right of the Purchaser to transfer Purchased Ordinals claimed after the delivery of the Ordinals.&#x20;

17. Entire Agreement&#x20;

These Terms constitute the sole and entire agreement and understanding of the parties relating to the subject matter herein and supersede all prior or contemporaneous disclosures, discussions, understandings and agreements, whether oral or written, between them.

18. Notices to the Association

Any notice required or permitted by these Terms to the Association will be deemed sufficient when sent by email to the relevant address listed on the front page of these Terms.

19. Applicable Law and Jurisdiction&#x20;

These Terms and the purchase of Ordinals will be governed by and construed and enforced in accordance with the laws of Switzerland, excluding the United Nations Convention on Contracts for the International Sale of Goods dated 11 April 1980 (CISG), as amended from time to time.&#x20;

Any dispute arising out of or relating to these Terms and the purchase of Ordinals, including disputes on its conclusion, binding effect, amendment and termination, shall be resolved by the ordinary courts in Zug, Switzerland. \ <br>

# Operator Public Sale Terms & Conditions

**Participation in the Sales (as defined below) involves a high degree of risk. You should carefully review the information provided to you in connection herewith, together with all of the other information contained in these Terms (as defined below), before making a purchase decision.**

1. General

Logos Collective Association, c/o PST Consulting GmbH, Baarerstrasse 10, 6300 Zug, Switzerland, (the "Association") and/or its affiliates, among other things, develop software relating to blockchain or distributed ledger technology or a similar technology, including the Ordinal project which is a collection of 5,000 Bitcoin ordinals, which are a unique, non-fungible digital asset created through ordinal theory on the Bitcoin blockchain and assigning of an identifier to an individual satoshi, allowing for the potential inscription of additional data or digital content, representing certain archetypes (the “Ordinals”). The following terms (the "Terms") relate to the public round of sales (the “Sales”) of any remaining Ordinals following an earlier distribution, with the intended functionalities as defined in Section 3 below. These Terms do not constitute a prospectus of any sort, nor a solicitation or recommendation for investment, nor an offering of shares or equity, nor do they pertain to an offering of securities in any form or manner.&#x20;

2. Scope of Terms&#x20;

These Terms govern your purchase of Ordinals from the Association. By purchasing the Ordinals, you (the “Purchaser”) agree to be bound by these Terms. If the Purchaser is purchasing the Ordinals on behalf of an entity (such as its employer), Purchaser represents and warrants that it has the authority to bind such entity to these Terms. In that case, Purchaser will refer to that other legal entity.

3. The Project and the Ordinals

Each Ordinal represents one of ten archetypes that provides for certain benefits and uses within Logos (being, the “Project”). The Association intends that the Ordinals have multiple uses and benefits, including potentially earning more experience points and if staked on the Logos Operator Dashboard, receiving exclusive access in respect of Logos, to a discord channel, forum, and eligibility for an ambassador role to lead local communities. <br>

The description above and wherever mentioned by the Association is not binding in any way and may be modified by the Association and/or its affiliates at any time at their sole discretion. The entitlement to the Ordinals carries no rights, uses, purpose, attributes, functionalities or features, express or implied, including without limitation, any uses, purpose, attributes, functionalities or features in connection with the Project, other than as set out above, subject to limitations and conditions in these Terms. In particular, you acknowledge the Ordinals do not represent or confer any membership/ownership right, voting rights, or stake, share or security or equivalent rights, or any right to receive future revenue shares, intellectual property rights or any other form of participation in or relating to the Project or the Association. The Ordinals are not intended to be a security, commodity or any other kind of financial instrument. The Ordinals are not intended to serve, now or in the future, as an alternative means of payment.<br>

The maximum cap (hard cap) on the total supply of Ordinals, in the aggregate, 5,000 (five thousand). At the time the Ordinals shall be allocated according to these Terms, it is intended that the Ordinals enable digital access to the Project and allow for participation as described above. <br>

4. Refusal of Purchase Requests, Cancellation

Your purchase of Ordinals from the Association is final, and there are no refunds or cancellations, except as may be required by applicable law or regulation.&#x20;

Purchaser acknowledges that it is required to meet certain requirements in order to participate in the Sales, including, among others, the Purchaser's residency and citizenship requirements, as well as compliance with these Terms.&#x20;

5. Payment

Purchaser shall pay the total purchase price to the Association, as determined by the Association in respect of the Ordinal they wish to purchase. If the Purchaser fails to pay the total purchase price, the Association will not deliver the Ordinals and shall be entitled to terminate the sale of Ordinals to the Purchaser without prejudice to other rights it may have against the Purchaser. The Association accepts payment for the total purchase price only in Bitcoin (BTC).&#x20;

Purchaser will also be solely responsible for any applicable service fees, network fees, including but not limited to transaction or gas fees, associated with the transfer or processing of such Ordinals. The Association will not be liable for any delays or failures in the distribution to the Recipient of an Ordinal caused by the Recipient's failure to provide for such fees.

6. Delivery of Ordinals&#x20;

Provided that the representations and warranties in Section 9 of these Terms are true and provided that the Purchaser has paid the total purchase price, the Ordinals (“Purchaser Ordinals”) will be delivered to the Purchaser’s wallet address (“Purchaser Wallet Address”). The Purchaser agrees and accepts that the Purchaser has no right to claim and/or receive the Purchaser Ordinals as long as these conditions precedent are not met.

7. Intellectual property rights&#x20;

As part of the delivery of the Ordinals by the Association to the Purchaser, the Association further grants to the Purchaser a limited, non-exclusive, non-commercial, revocable license to:

1. display the corresponding image (“Ordinal Image”) to the Purchaser Ordinal and for personal use only;
2. any other uses as the Association might grant in writing, whether in these Terms or otherwise. <br>

The Purchaser acknowledges that the license is non-transferable except in connection with the subsequent transfer of the Purchaser Ordinal.&#x20;

The Purchaser acknowledges that the Ordinal Image and any associated content created from the Ordinal Image (excluding the Bitcoin ordinals) are original works of the Association and are protected by copyright and other intellectual property laws. The Association retains all rights, title, and interest in and to the Ordinal Image, including all other individual Ordinal Images, derivatives, modifications, and any related intellectual property rights (collectively referred to as “Association IP”). The Purchaser acknowledges that, except for the limited rights granted under these Terms, the Purchaser has no rights in or to the Association IP, and all rights not expressly granted herein are reserved by the Association. <br>

The Purchaser shall not engage in any conduct that would infringe upon the Association IP, including but not limited to:

1. Reproducing, distributing, or publicly displaying the Ordinal Image outside the scope of these Terms;
2. Creating derivative works based on the Ordinal Image without prior written consent from the Association.

The Association reserves the right to monitor the Purchaser’s use of the Ordinal Image to ensure compliance with these Terms. The Association retains the right to take appropriate legal action against the Purchaser in the event of any unauthorized use or infringement of its intellectual property rights.

8. Representations and Warranties of the Association

The Association hereby represents and warrants to the Purchaser that:

1. the Association is duly organized and validly existing under the laws of the jurisdiction of its incorporation, and has the power to own and license its properties and to carry on its business as now being conducted and as presently proposed to be conducted;

2. the Association has full corporate power and authority to consummate the transactions contemplated hereunder;

3. the execution and performance of the Sales by the Association has been duly authorized by all necessary actions of the Association;

4. the consummation of the transactions contemplated hereunder and the performance of the Sales by the Association do not violate the provisions of the Association’s charter documents;

5. Representations and Warranties of the Purchaser

The Purchaser hereby represents and warrants to the Association that:

1. the Purchaser is an individual or a legal entity duly organized and validly existing under the laws of the jurisdiction of its incorporation;<br>

2. the Purchaser has full power and authority to consummate the transactions contemplated hereunder;

3. the execution and performance of the sale of Ordinals governed by these Terms have been duly authorized by all necessary actions of the Purchaser;

4. the Purchaser has a good understanding of the English language, have read and understood the information and these Terms;

5. the Purchaser is (i) legally permitted to receive and hold and make use of the Ordinals in the Purchaser’s jurisdiction and (ii) no legal restrictions exist in its country of residence or domicile for participating in the Sales or purchasing the Ordinals;<br>

6. these Terms are valid and binding upon the Purchaser and enforceable in accordance with its terms;<br>

7. the total purchase price is paid on Purchaser’s own account, not as a nominee or agent, and not with a view to assign any part thereof, and Purchaser has no present intention of selling, granting any participation in, or otherwise distributing any interest the Purchaser has with respect to the Sales and the purchased Ordinals, or otherwise;

8. the Purchaser does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participations to such person or to any third person, with respect to the Sales, the total purchase price, and/or the purchased Ordinals;<br>

9. the Purchaser is not acquiring Ordinals for the purpose of any investment, speculative or other financial purpose. The Purchaser is acquiring Ordinals with the intention to utilize the Ordinals within the Project;<br>

10. the Purchaser understand that the Ordinals (i) carry no rights, uses, purpose, attributes, functionalities or features, express or implied, other than as set out in Section 3, subject to limitations and conditions in these Terms; and (ii) confer no other rights of any form with respect to the Project or the Association, including, but not limited to, any voting, distribution, redemption, liquidation, proprietary (including all forms of intellectual property), or other financial or legal rights; <br>

11. the Purchaser is familiar with digital cryptographic tokens issued by projects in the development stage and acknowledges that it is able to bear the economic risk of its purchase of tokens, and has such knowledge and experience in financial, business, and software technology matters that it is capable of evaluating the merits and risks of these Terms, the Ordinals, and the Project, and of making an informed decision in respect thereto; <br>

12. the Purchaser acknowledges that the Ordinals do not represent or constitute any ownership right or stake, debt instrument, share or security or equivalent right in or relating to the Association, the Project and/or any software or intellectual property rights except for the limited license granted to Purchaser under these Terms;&#x20;

13. the Purchaser acknowledges that if any of the representations, warranties or covenants made by the Purchaser pursuant to these Terms ceases to be true or if the Association no longer reasonably believes that it has satisfactory evidence as to their truth, notwithstanding any other agreement to the contrary, the Association shall not be obligated to allocate the Purchaser Ordinals to the Purchaser;

14. the Purchaser has received information that it regards as sufficient to fully evaluate these Terms, the Ordinals, and the Project;&#x20;

15. the Purchaser confirms that it is not and has not been involved in any type of activity associated with money laundering, terror financing, or any other applicable anti-corruption or anti bribery legislation, nor was ever subject to any investigation by or has received a request for information from any governmental body relating to corruption or bribery. The Purchaser hereby consents to the Association running any checks or enquiries with third parties and waives any privacy or other right in connection therewith and acknowledges that any breach of this representation by the Purchaser will entitle the Association to terminate the sale of the Ordinal;<br>

16. the Purchaser confirms that neither the Purchaser nor, if applicable, any of its affiliates or direct or indirect beneficial owners are listed or associated with any person or entity that is (i) the subject of any sanctions administered or enforced by any governmental authority, (ii) listed on the Swiss SECO’s Overall List of Sanctioned Individuals, Entities and Organizations, or any of the US Department of Commerce’s Denied Persons or Entity List, the US Department of Treasury’s Specially Designated Nationals or Blocked Persons Lists, the US Department of State’s Debarred Parties List, the U.S. Department of Treasury’s Office of Foreign Assets Control (OFAC) or the EU Consolidated List of Persons, Groups and Entities Subject to EU Financial Sanctions; or included in the consolidated list published by the United Nations Security Council of individuals or entities subject to measures imposed by the United Nations Security Council accessible at <https://www.un.org/securitycouncil/content/un-sc-consolidated-list> or (iii) operationally based or domiciled in a country or territory in which sanctions imposed by Switzerland, United Nations, OFAC and/or the European Union apply;&#x20;

17. the Purchaser hereby represents that neither it nor any person or entity directly or indirectly controlling, controlled by or under common control with it, is a person identified as a terrorist or terrorist organization on any relevant lists maintained by governmental authorities; <br>

18. the Purchaser acknowledges that if any of the representations, warranties or covenants made by the Purchaser pursuant to these Terms ceases to be true or if the Association no longer reasonably believes that it has satisfactory evidence as to their truth, notwithstanding any other agreement to the contrary, the Association shall not be obliged to allocate the Ordinals to the Purchaser;&#x20;

19. none of the cash or property that the Purchaser has paid, or will pay the Association as purchase price has been or shall be derived from, or related to, any activity that is deemed criminal under the laws of any applicable jurisdiction; and

20. without prejudice to the foregoing, the Purchaser hereby represents and warrants to the Association that it has carefully reviewed and understands and accepts the various risks of participation in the Sales, as further detailed in Section 12 of these Terms, including the risks associated with holding Ordinals, and the Purchaser hereby consents to bear such risks.

21. Covenants of the Purchaser

The Purchaser hereby covenants to the Association the following:

1. the Purchaser agrees to cooperate in good faith with the Association. In particular, the Purchaser covenants to have sufficient technical resources in order to claim the Ordinals as set forth in Section 6 of these Terms and to be familiar with and aware of the need to use the relevant blockchain network;<br>

2. the Purchaser agrees to pay the total purchase price from the Purchaser Wallet Address; <br>

3. the Purchaser agrees that it will not transfer or seek to transfer any rights under these Terms (including any right to claim Ordinals), and any attempt to transfer any such rights in violation of this provision is void ab initio. For the avoidance of doubt, the foregoing shall not restrict the right of the Purchaser to transfer the Ordinals after delivery of the Ordinals;

4. the Purchaser agrees that if any of the representations, warranties or covenants made by the Purchaser ceases to be true, Purchaser shall immediately notify the Association of such occurrence;

5. the Purchaser agrees that all taxes, fees, and dues which arise by receiving and accepting the Ordinals, have to be paid by the Purchaser, except for the cases where such taxes, fees, and dues are specifically required by law to be paid by the Association;

6. the Purchaser agrees to provide to the Association any additional information regarding the Purchaser that the Association deems necessary or convenient to ensure compliance with all applicable laws concerning money laundering and similar activities;

7. the Purchaser shall implement reasonable and appropriate measures designed to secure access to: (i) any device associated with the Purchaser and utilized in connection with your purchase of Ordinals; (ii) private keys to Purchaser's wallet address or account; and (iii) any other username, passwords or other login or identifying credentials.&#x20;

8. the Purchaser understands that the Association may release confidential information about the Purchaser and, if applicable, any underlying beneficial owners, if the Association, at its sole discretion, determines that it is in the best interests of the Association in light of relevant rules and regulations; and

9. the Purchaser hereby undertakes to promptly notify the Association if at any time the Purchaser is unable to satisfy the agreements set forth herein or if the representations set forth herein cease to be true.

10. Information & Representations and Warranties of the Purchaser regarding Securities Laws

The Purchaser understands that the Ordinals have not been, and will not be, registered under any jurisdiction's securities laws, in particular the U.S. Securities Act of 1933, as amended (the "Securities Act'). The Purchaser hereby agrees and represents to the Association as follows:

1. the Purchaser is not a U.S. Person as defined in Rule 902(k) of Regulation S under the Securities Act. The offer and sale of the Ordinals herein was made in an offshore transaction (as defined in Rule 902(h) of Regulation S), no directed selling efforts (as defined in Rule 902(c) of Regulation S) were made in the United States, the Purchaser has been outside the United States when it received any information concerning the Project and the Sales, and the Purchaser is not acquiring the Ordinals for the account or benefit of any U.S. Person;<br>

2. the Purchaser will not offer or sell the Ordinals in the United States, or offer or sell the Purchaser Ordinals for the account or benefit of a U.S. Person;

3. neither the Purchaser nor any person acting on its behalf has engaged, or will engage, in any directed selling efforts to any U.S. Persons with respect to the Ordinals; and

4. the Purchaser represents and warrants that the rights and Ordinals hereunder have not been acquired with a view to, or in connection with, the sale or distribution thereof and will not be transferred in the United States to, or for the account or benefit of, any U.S. person except pursuant to an available exemption from the registration requirements of the Securities act and all applicable state securities laws.<br>

Purchaser and Association will use their best efforts in avoiding US security law issue(s) and completing the transaction. In case US security law issue(s) arises, the Parties shall use their best efforts to take all actions required to mitigate the risk for the Parties and to achieve compliance with regard to US security laws.&#x20;

12. Acknowledgment and Assumption of Risks&#x20;

The Purchaser acknowledges that there are risks associated with purchasing the Ordinals, holding Ordinals, and using Ordinals, including, without limitation, the following:&#x20;

1. risk of software weaknesses: the Purchaser understands and accepts that involved software and technology and technical concepts and theories are still in an early development stage and unproven, whereby there is no warranty that the process for receiving, use and ownership of Ordinals will be uninterrupted or error-free and why there is an inherent risk that the software and related technologies and theories could contain weaknesses, vulnerabilities or bugs causing, inter alia, the complete loss of Ordinals. The Purchaser understands and accepts that the software and hardware, technology and technical concepts and theories applicable to Ordinals (as well as virtual currency Ordinals in general) is still in an early development stage and unproven, there is no warranty that the technology will be uninterrupted or error-free and there is an inherent risk that the technology could contain weaknesses, vulnerabilities or bugs causing, inter alia, the complete loss of the Ordinals and the Purchaser’s total purchase price;

2. regulatory risk: the Purchaser understands and accepts that blockchain technology allows new forms of interaction and that it is possible that certain jurisdictions will apply existing regulations on, or introduce new regulations addressing, blockchain technology based applications, which may be contrary to the current setup and which may, inter alia, , the loss of all Ordinals and the value thereof for the Purchaser. Further, the Purchaser accepts and bears all risks with respect to securities, anti-money laundering, commodities and other regulations that may regulate the Association, the total purchase price and/or the Ordinals;

3. risk of legal qualification: the Purchaser understands and accepts that the legal structure of Ordinals is relatively new, and no relevant prejudices are available. Therefore, the risk remains that a court may come to the conclusion that the underlying rights cannot be transferred validly by transfer of the Ordinals alone;

4. third party risks: the Association might use third parties as service providers for certain aspects of the Sales. The Association has no visibility into, or possibility to control, the software or mechanisms used by such third party, and cannot verify or guarantee the proper functionality of the third party software or operations;<br>

5. lack of any intrinsic value/benefits/uses: the Purchaser understands and accepts Ordinals has no intrinsic value and might have no functionality, benefits or uses in respect of the Project and may become worthless;

6. risk of theft and attacks: the Purchaser understands and accepts that the underlying software application and software of the Ordinals , the internet, any blockchain network, and other involved software, technology components, decentralized applications may be exposed to attacks by hackers or other individuals that could result in theft or loss of the Ordinals and the Purchaser’s entire purchase price;

7. risk of blockchain mining attacks: the Purchaser understands and accepts that, blockchain based systems, such as the Bitcoin network, are dependent upon independent miners and they are susceptible to mining attacks including but not limited to double-spend attacks, majority mining power attacks, “selfish-mining” attacks, and race condition attacks plus any number of as-yet unknown attack vectors on the unique technologies and mechanisms of the Bitcoin network . Any successful attacks present a risk to the Bitcoin network, expected proper execution and sequencing of Ordinal transactions, and expected proper execution and sequencing of software computations;<br>

8. risk of market decline: the growth of the blockchain industry in general is subject to a high degree of uncertainty and may experience a decline or be materially impacted, which could materially affect the use of the Ordinal;<br>

9. volatility risks: the prices of blockchain assets such as Bitcoin have historically been subject to dramatic fluctuations and are highly volatile, and the market price of the Ordinals may also be highly volatile. In addition, a decrease in the price of a single blockchain asset may cause volatility in the entire blockchain asset industry and may affect other blockchain assets including the Ordinals;<br>

10. risk of insufficient Ordinal liquidity / loss of value: the Purchaser understands that regarding the Ordinals no access to exchanges or market liquidity may be guaranteed and that the value (if any) of the Ordinals over time may experience extreme volatility or depreciate resulting in loss that will be borne exclusively by the Purchaser; <br>

11. risk of uncertain tax treatment: the tax treatment of acquiring, holding and where permitted, selling, exchanging or otherwise disposing of the Ordinals is uncertain, and the Purchaser must seek its own tax advice. Acquiring, holding and where permitted, selling, exchanging or otherwise disposing of the Ordinals may result in adverse tax consequences to Purchasers, including liability for income taxes and responsibility for complying with certain tax reporting requirements. The Purchaser should consult with and must rely upon the advice of its own tax advisors; and<br>

12. risk of loss of private key: the Ordinals can only be accessed by using a combination of Purchaser’s information (Purchaser Wallet Address and private key). The Purchaser understands and accepts that if their private key file or password of the Purchaser Wallet Address were lost or stolen, the allocated Ordinals associated with the Purchaser Wallet Address would be unrecoverable and would be permanently lost. The Association has no control over the Ordinals once the Purchase receives the Ordinals; therefore, the Purchaser shall have no recourse to seek any refunds, recovery or replacements from the Association in the event of a Purchaser losing possession of its Purchaser Wallet Address through a loss, mismanagement or theft of access keys and/or passwords.

The Ordinals involve a high degree of risk, including the potential risk of expiring worthless. You should be prepared in certain circumstances to sustain a total loss of the total purchase price.<br>

13. Disclaimers<br>

12.1 Purchaser Wallet Address

The Purchaser assumes full responsibility and liability for any losses resulting from (i) any intentional or unintentional misuse of Purchaser Wallet Address including, without limitation, any loss resulting from designating a wallet that is non-compliant with the relevant blockchain for the receipt of the Ordinals, or depositing one type of digital asset to a wallet intended for another type of digital asset, (ii) any intentional or unintentional loss of private key of the Purchaser Wallet Address and (iii) any intentional or unintentional sharing of private key of the Purchaser Wallet Address with anyone else. The Association assumes no responsibility or liability in connection with any such misuse.<br>

12.2 Indemnity

The Association shall not be liable to the Purchaser, and the Purchaser will indemnify, defend and hold harmless the Association and its directors, officers, agents and advisors, and the successors and assigns of the foregoing, from and against, all or any part of any third party causes of action, claims, liabilities, losses, costs, damages and expenses (including, without limitation, attorneys’ fees and expenses) (collectively “Claims”) for damages to or loss of property arising out of or resulting from the transactions contemplated herein, except to the extent such Claims arise from the bad faith or intentional misconduct of the Association.<br>

To the fullest extent permitted by applicable law, the Purchaser releases the Association from all responsibility, liability, claims, demands and damages (actual and consequential) of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to the use of Ordinals, excluding the case of gross negligence, fraud, wilful misconduct by the Association, or otherwise set forth in these Terms).

12.3 Limitation of Liability

Neither the Association nor any other party involved in the transaction contemplated herein will be liable for any incidental, special, exemplary or consequential damages, or damages for lost profits, lost revenues, lost savings, lost business opportunity, loss of data or goodwill, service interruption, computer damage or system failure or the cost of substitute activities of any kind arising out of or in connection with these Terms or the Purchaser’s participation in, or inability to participate in, the contemplated transaction, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not the Association or any other person has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply. In no event will the Association’s total liability to the Purchaser arising out of or in connection with these Terms or from the purchaser’s participation in, or inability to participate in, the contemplated transaction exceed the total purchase price (denominated in USD at the time of the sale). The exclusions and limitations of damages set forth above are fundamental elements of the basis of the bargain between the Association and the Purchaser.

12.4 Class Action Waiver

Any Claims or disputes arising under these Terms will take place on an individual basis without resort to any form of class or representative action (the “Class Action Waiver”). This Class Action Waiver precludes any party from participating in or being represented in any class or representative action regarding a Claim. Regardless of anything else in these Terms to the contrary, the validity and effect of the Class Action Waiver may be determined only by a court or referee and not by an arbitrator, and Purchaser acknowledges that this Class Action Waiver is material and essential to the arbitration of any disputes between the parties and is non-severable from these Terms.

12.5 No other representation or warranty

The Association does not give any other representation or warranty with respect to the Ordinals or the Association and the applicability of Articles 97 (in this respect) and 197 et seq. of the Swiss Code of Obligations is explicitly excluded.

14. Taxes&#x20;

The price of the Ordinals includes all taxes (if any) due by Association for the sale of the Ordinals under the laws of Switzerland. Purchaser is solely responsible for determining what, if any, taxes apply to your purchase of the Ordinals, including, for example, sales, use, value added, and similar taxes. It is also Purchaser’s sole responsibility to withhold, collect, report and remit the correct taxes to the appropriate tax authorities. The Association is not responsible for withholding, collecting, reporting, or remitting any sales, use, value added, or similar tax arising from Purchaser’s purchase of the Ordinals. <br>

15. Severability&#x20;

If any term or provision of these Terms is invalid, illegal or unenforceable in any jurisdiction, it will be so held to the minimum extent required by law and such invalidity, illegality or unenforceability shall not affect any other term or provision these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction. Upon a determination that any term or provision is invalid, illegal or unenforceable, the parties hereto shall negotiate in good faith to modify these Terms to effect the original intent of the parties as closely as possible in order that the transactions contemplated hereby be consummated as originally contemplated to the greatest extent possible. <br>

16. Transfer and Assignment&#x20;

The Purchaser must not transfer or seek to transfer any rights under these Terms (including any right to receive Ordinals), and any attempt to transfer any such rights in violation of this provision is void ab initio. For the avoidance of doubt, the foregoing shall not restrict the right of the Purchaser to transfer Purchased Ordinals claimed after the delivery of the Ordinals.&#x20;

17. Entire Agreement&#x20;

These Terms constitute the sole and entire agreement and understanding of the parties relating to the subject matter herein and supersede all prior or contemporaneous disclosures, discussions, understandings and agreements, whether oral or written, between them.

18. Notices to the Association

Any notice required or permitted by these Terms to the Association will be deemed sufficient when sent by email to the relevant address listed on the front page of these Terms.

19. Applicable Law and Jurisdiction&#x20;

These Terms and the purchase of Ordinals will be governed by and construed and enforced in accordance with the laws of Switzerland, excluding the United Nations Convention on Contracts for the International Sale of Goods dated 11 April 1980 (CISG), as amended from time to time.&#x20;

Any dispute arising out of or relating to these Terms and the purchase of Ordinals, including disputes on its conclusion, binding effect, amendment and termination, shall be resolved by the ordinary courts in Zug, Switzerland. \ <br>
